La piattaforma di risoluzione online delle controversie della Commissione europea non è disponibile per i residenti in Svizzera o nel Regno Unito.

I presenti Termini del servizio di pagamento per utenti europei ("Termini di pagamento") costituiscono un contratto giuridicamente vincolante tra te e Airbnb Payments, che regola i Servizi di pagamento (definiti di seguito) eseguiti attraverso o in relazione alla Piattaforma Airbnb. Quando i presenti Termini di pagamento menzionano "Airbnb Payments", "noi", "ci" o tutte le forme di "nostro", si riferiscono a:

  • Airbnb Payments Luxembourg S.A. ("Airbnb Payments Luxembourg") se il tuo Paese di residenza si trova nello SEE.
  • Airbnb Payments UK Ltd. ("Airbnb Payments UK") se il tuo Paese di residenza è il Regno Unito o la Svizzera.

I presenti Termini di pagamento e i relativi documenti, politiche e standard costituiscono un accordo giuridicamente vincolante tra te e Airbnb Payments, che regola i Servizi di pagamento (definiti di seguito) eseguiti attraverso o in relazione alla Piattaforma Airbnb.

I documenti a cui si fa riferimento includono, ad esempio:

  • I Termini del servizio, che regolano il tuo diritto di utilizzare i siti web, le applicazioni e le altre offerte di Airbnb (collettivamente, la "Piattaforma Airbnb").
  • Le Condizioni di Riprenotazione e Rimborso, che spiegano in che modo Airbnb fornisce assistenza in caso di riprenotazione e in che modo gestisce i rimborsi nel caso in cui un Host dovesse cancellare una prenotazione o un altro Problema di viaggio dovesse causare l'interruzione di un soggiorno.
  • Le Condizioni di rimborso ospiti per le Esperienze, che spiegano come vengono gestiti i rimborsi per le Esperienze quando un Host effettua una cancellazione o si verifica un Problema di viaggio.
  • I Termini delle circostanze attenuanti, che spiegano come gestiamo le cancellazioni quando si verificano eventi imprevisti al di fuori del tuo controllo dopo la tua prenotazione, che rendono impossibile o illegale completarla.
  • I Termini della Protezione danni per host, che spiegano i termini, le esclusioni e le limitazioni in base ai quali Airbnb accetterà di pagare un Host per riparare o sostituire una Proprietà coperta a seguito di un Sinistro coperto.
  • Le Regole della community, che definiscono le aspettative dei membri della community di Airbnb.
  • L'Informativa sui contenuti, che disciplina la pubblicazione da parte dei Membri di contenuti sulla Piattaforma Airbnb.

Per comodità, abbiamo indicato sopra diversi termini e politiche a cui si fa riferimento nei presenti Termini di Pagamento. Tuttavia, è importante evidenziare la presenza di altri termini e politiche supplementari collegati alla nostra pagina Termini legali aggiuntivi, che si applicano al tuo utilizzo della Piattaforma Airbnb, sono incorporati per riferimento e fanno inoltre parte dell'accordo legale vincolante tra te e Airbnb.

I nostri termini e politiche sono organizzati in base agli argomenti a cui si riferiscono, in modo da rendere più semplice reperire i termini o le politiche pertinenti alla tua richiesta o al tuo evento.

Airbnb Payments fornisce servizi di pagamento ai Membri che pubblicano, offrono e prenotano Alloggi, Esperienze o altri Servizi dell'Host, inclusi i servizi correlati al Programma Open Homes e ad altri servizi attuali e futuri forniti tramite la Piattaforma Airbnb. Tali servizi di pagamento sono forniti a beneficio degli Host e possono includere (se disponibili) i seguenti (collettivamente, "Servizi di pagamento"):

  • Riscuotere pagamenti dagli Ospiti ("Paganti"), con un addebito sul metodo di pagamento fornito dall'Ospite o associato al suo account Airbnb, quale carta di credito, carta di debito, conto bancario, conto PayPal, portafoglio digitale o prodotto a rate offerto da un fornitore di credito ("Metodo di pagamento").
  • Effettuare pagamenti agli Host ("Compenso") su uno strumento finanziario associato al loro account Airbnb, come un conto PayPal, un conto bancario, una carta prepagata o una carta di debito ("Preferenza di pagamento").
  • Effettuare pagamenti su una Preferenza di pagamento di un terzo indicato da un Host.
  • Raccogliere e versare donazioni di beneficenza.
  • Altri servizi relativi ai pagamenti connessi ai Servizi dell'Host.

Airbnb Payments fornisce Servizi di pagamento regolamentati solo agli Host in qualità di agente limitato per la riscossione dei pagamenti dell'Host, accettando ed elaborando, per conto di quest'ultimo, fondi provenienti dagli Ospiti che acquistano Servizi dell'Host.

Per poter utilizzare i Servizi di pagamento, devi avere almeno 18 anni, possedere un account Airbnb in regola con i Termini del servizio di Airbnb ("Termini") e assicurarti che le tue informazioni personali e di pagamento siano accurate e complete. Dovrai inoltre fornirci la tua identità e altre informazioni da noi richieste.

Se cambi Paese di residenza, la società Airbnb con cui hai stipulato il contratto e la versione applicabile dei Termini di pagamento saranno determinate in base al nuovo Paese di residenza a decorrere dalla data di tale variazione. Continuando a utilizzare i Servizi di pagamento dopo il cambio di Paese di residenza, accetti tale variazione e i relativi termini. In ogni caso, la società Airbnb Payments con cui stipuli il contratto rimarrà la stessa per tutte le prenotazioni fatte prima del cambio di residenza.

I Termini regolano separatamente l'uso della piattaforma Airbnb. I termini non definiti nei presenti Termini di pagamento hanno la stessa definizione indicata nei Termini.

1. Il tuo utilizzo dei Servizi di Pagamento

1.1 Servizi di Pagamento di Airbnb. Utilizzando i Servizi di pagamento, accetti di attenerti ai presenti Termini di pagamento. Airbnb Payments può limitare o sospendere temporaneamente il tuo accesso a o utilizzo dei Servizi di pagamento o delle loro funzionalità per eseguire interventi di manutenzione che garantiscano il corretto funzionamento dei Servizi di pagamento.

1.2 Servizi di terzi. I Servizi di pagamento possono contenere collegamenti a siti web o risorse di terze parti ("Servizi di terzi"). Tali Servizi di terzi sono soggetti a termini del servizio e politiche sulla privacy diversi e i Membri dovrebbero leggerli. Airbnb Payments non è responsabile per l'utilizzo dei suddetti Servizi di terzi. I link a eventuali Servizi di Terzi non costituiscono un'approvazione da parte di Airbnb Payments di tali Servizi di Terzi.

1.3 Il tuo Account Airbnb. Airbnb può attivare funzionalità che ti consentono di autorizzare altri Membri o terze parti a realizzare talune azioni che interessano il tuo account Airbnb. Puoi autorizzare una terza parte a utilizzare il tuo account Airbnb, se tale funzione è abilitata. Riconosci e accetti che qualsiasi persona autorizzata a utilizzare il tuo account Airbnb potrà usare i Servizi di Pagamento per tuo conto e che sarai responsabile di qualsiasi pagamento effettuato da tale persona.

1.4 Identificazione e verifica. Autorizzi Airbnb Payments, direttamente o tramite terze parti, a effettuare qualsiasi richiesta da noi ritenuta necessaria per verificare la tua identità e le informazioni che fornisci e, ove opportuno, verificare l'identità dei rappresentanti e dei titolari effettivi. Ciò può includere: (i) confrontare la tua identità e, se applicabile, quella dei tuoi rappresentanti e beneficiari effettivi con database di terze parti o altre fonti; (ii) richiedere report da fornitori di servizi; (iii) chiedere a te e, se applicabile, ai tuoi rappresentanti e beneficiari effettivi di fornire un documento d'identità ufficiale (ad esempio, la patente di guida o il passaporto), per verificare dati quali nome, luogo e data di nascita, indirizzo, nazionalità e/o altre informazioni che riteniamo necessarie ai sensi delle leggi applicabili; o (iv) chiederti di prendere provvedimenti per confermare la titolarità del tuo indirizzo email e dei tuoi Metodi di pagamento o delle tue Preferenze di pagamento. Airbnb Payments si riserva il diritto di far cessare, sospendere o limitare l'accesso ai Servizi di pagamento nel caso in cui non fossimo in grado di ottenere o verificare tali informazioni.

1.5 Termini aggiuntivi. L'accesso a, o l'utilizzo da parte tua di, alcuni Servizi di pagamento può essere soggetto a o può richiedere l'accettazione da parte tua di termini e condizioni aggiuntivi. In caso di eventuali conflitti tra i presenti Termini di Pagamento e i termini e le condizioni applicabili a uno specifico Servizio di pagamento, questi ultimi avranno la priorità per quanto riguarda l'accesso o l'uso da parte tua di tale Servizio di Pagamento, salvo ove diversamente specificato.

2. Termini per gli Ospiti

2.1 Aggiungere un Metodo di pagamento. Quando aggiungi un Metodo di pagamento al tuo account Airbnb, ti verrà chiesto di fornire a Airbnb Payments o ai terzi che elaborano i pagamenti per suo conto i dati di fatturazione, tra cui nome, indirizzo di fatturazione e informazioni sullo strumento finanziario. Autorizzi Airbnb Payments e i suoi elaboratori di pagamento a raccogliere e archiviare le informazioni sul tuo Metodo di pagamento in conformità con l'Informativa sulla privacy di Airbnb.

2.2 Verifica del Metodo di pagamento. Quando aggiungi o utilizzi un nuovo Metodo di pagamento, Airbnb Payments potrebbe verificarlo (i) tramite pre-autorizzazione, ovvero l'accredito sul tuo Metodo di pagamento di uno o due importi nominali tramite un fornitore di servizi di pagamento, e chiedendoti di confermare l'ammontare di tali importi, oppure (ii) chiedendoti di caricare un estratto conto. Ci riserviamo e conserviamo il diritto di riscuotere il rimborso per tali importi dal tuo Metodo di pagamento. Quando durante la procedura di pagamento aggiungi un Metodo di pagamento, salveremo e aggiungeremo automaticamente tale metodo sul tuo account Airbnb, in modo che possa essere utilizzato in futuro. Non puoi rimuovere il Metodo di pagamento associato a una prenotazione durante il periodo che inizia dalla data della prenotazione e termina quattordici (14) giorni dopo la data di check-out, né durante qualsiasi ulteriore periodo di tempo necessario per risolvere qualunque Richiesta di risarcimento danni in sospeso associata a tale prenotazione.

2.3 Autorizzazione al pagamento. Consenti a Airbnb Payments di addebitare sul tuo Metodo di pagamento (incluso l'addebito su più Metodi di pagamento), direttamente o indirettamente, tutti i costi e altri importi dovuti (incluse le imposte applicabili) in relazione al tuo account Airbnb, inclusi gli importi relativi a Richieste di risarcimento ai sensi dei Termini e delle Sezioni 5 e 6.

2.4 Aggiornamento automatico del Metodo di pagamento. Nel caso in cui le informazioni relative al tuo Metodo di pagamento cambiassero (ad esempio, numero di conto o di carta, numero di routing, data di scadenza o numero CVV o CVC), a seguito di una riemissione o per altre ragioni, potremo acquisire tali dati dai nostri partner fornitori di servizi finanziari o dalla tua banca e aggiornare automaticamente il Metodo di pagamento registrato.

2.5 Tempistiche del pagamento. Airbnb Payments generalmente addebita il Prezzo totale dovuto dopo che l'Host accetta la richiesta di prenotazione. Tuttavia, se paghi con un Metodo di pagamento con versamento immediato (come Sofort), Airbnb Payments riscuoterà il Prezzo totale al momento della tua richiesta di prenotazione o dopo che l'Host avrà accettato la stessa. Airbnb può offrire opzioni alternative per quanto concerne i tempi e le modalità di pagamento. Ogni costo aggiuntivo connesso all'utilizzo di tali opzioni di pagamento alternative verrà mostrato tramite la Piattaforma Airbnb e incluso nel Prezzo totale, e accetti di pagare tali costi selezionando l'opzione di pagamento. Potrebbero applicarsi termini e condizioni aggiuntivi per l'uso di opzioni di pagamento alternative. Qualora non fosse in grado di riscuotere il Prezzo totale dovuto secondo la tempistica programmata, Airbnb Payments riscuoterà il dovuto in un momento successivo, come indicato nella Sezione 5.3. Al completamento dell'operazione di pagamento relativa alla prenotazione richiesta, riceverai un'email di conferma.

2.6 Valuta.

2.6.1 Le valute disponibili per effettuare i pagamenti potrebbero essere limitate per motivi normativi oppure operativi, in base a fattori come il Metodo di pagamento da te selezionato, il tuo paese di residenza e/o le tue controparti contrattuali di Airbnb Payments. Eventuali limitazioni saranno comunicate tramite la Piattaforma Airbnb, e ti verrà richiesto di selezionare una valuta o un Metodo di pagamento diversi se la tua valuta preferita non è disponibile.

2.6.2 Se il paese in cui si trova la tua controparte contrattuale di Airbnb Payments è diverso da quello del fornitore del Metodo di pagamento o la valuta selezionata è differente da quella di fatturazione del tuo Metodo di pagamento, il pagamento potrebbe essere elaborato al di fuori del tuo paese di residenza. Di conseguenza, il fornitore del Metodo di pagamento potrebbe imporre alcune commissioni, e l'importo indicato nell'estratto conto del suddetto metodo potrebbe essere diverso da quello mostrato al momento del pagamento. Ad esempio, se effettui una prenotazione utilizzando una carta emessa negli Stati Uniti, ma selezioni come valuta l'euro, il pagamento può essere elaborato al di fuori degli Stati Uniti, e le banche e le società che emettono le carte di credito possono applicare commissioni per transazioni internazionali e di cambio. Inoltre, se scegli di pagare con una valuta diversa da quella di fatturazione del tuo Metodo di pagamento, la banca o la società che emette la carta di credito può convertire l'importo del pagamento nella valuta di fatturazione associata al suddetto metodo in base a un tasso di cambio e a un importo delle commissioni determinato esclusivamente dalla tua banca. Airbnb Payments non è responsabile per tali commissioni. Contatta il fornitore del Metodo di pagamento in caso di domande sulle commissioni o su qualsiasi tasso di cambio che impone.

2.7 Stato della richiesta di prenotazione. In caso di rifiuto da parte dell'Host di una richiesta di prenotazione, in caso di cancellazione della richiesta di prenotazione prima dell'accettazione dell'Host, o in caso di cancellazione della prenotazione da parte di Airbnb, qualsiasi importo riscosso da Airbnb Payments e a te dovuto ai sensi delle politiche descritte alla Sezione 5.5 ti verrà rimborsato, e l'eventuale pre-autorizzazione del Metodo di pagamento sarà annullata (se applicabile), come indicato nella Sezione 5.5.2.

2.8 Restrizioni al pagamento. Airbnb Payments si riserva il diritto di rifiutare o limitare i pagamenti che riteniamo (i) possano violare le politiche o le procedure di gestione del rischio di Airbnb Payments, (ii) possano violare i presenti Termini di Pagamento o i Termini, (iii) risultino non autorizzati, fraudolenti o illeciti; o (iv) espongano te, Airbnb, Airbnb Payments o altri a rischi inaccettabili per Airbnb Payments.

2.9 Fornitori di Servizi di pagamento. I Metodi di pagamento possono comportare il ricorso a fornitori di servizi di pagamento di terze parti. Tali fornitori potrebbero addebitarti commissioni aggiuntive durante l'elaborazione dei pagamenti in relazione ai Servizi di pagamento, e Airbnb Payments non è responsabile per tali commissioni e declina ogni responsabilità al riguardo. Il tuo Metodo di pagamento potrebbe anche essere soggetto a termini di utilizzo aggiuntivi. Verifica questa eventualità prima di utilizzare il Metodo di pagamento.

2.10 Il tuo Metodo di pagamento è tua responsabilità. Airbnb Payments non è responsabile per alcuna perdita da te subita a causa di informazioni sul Metodo di pagamento non corrette da te fornite. Airbnb Payments non offre alcun Servizio di pagamento regolamentato.

2.11 Diverse modalità per pagare

2.11.1 Paga una parte ora e una parte dopo

2.11.1.1 Airbnb può mettere a disposizione degli Ospiti l'opzione di pagare una parte del Prezzo totale al momento della prenotazione e il saldo in un secondo momento precedente al check-in ("Paga una parte ora e una parte dopo"). La disponibilità di questa opzione può dipendere dall'Annuncio e/o dal Metodo di pagamento.

2.11.1.2 Se scegli l'opzione "Paga una parte ora e una parte dopo", la Piattaforma Airbnb ti avviserà durante il pagamento, indicandoti inoltre l'importo, la valuta e le scadenze di ogni pagamento dovuto. In concomitanza con la data di scadenza dei pagamenti successivi, Airbnb Payments effettuerà automaticamente un addebito sul Metodo di pagamento originariamente utilizzato per effettuare la prenotazione.

2.11.1.3 Se modifichi una prenotazione con l'opzione "Paga una parte ora e una parte dopo", Airbnb ti comunicherà la riformulazione delle scadenze dei pagamenti, ove applicabile, e Airbnb Payments effettuerà automaticamente un addebito sul Metodo di pagamento originariamente utilizzato per effettuare la prenotazione nelle nuove date di scadenza dei pagamenti. Nel caso in cui la modifica comportasse un aumento del Prezzo totale, potresti dover effettuare un pagamento parziale aggiuntivo a saldo del nuovo Prezzo totale al momento della modifica.

2.11.1.4 Accetti che, selezionando l'opzione "Paga una parte ora e una parte dopo", non potrai pagare la prenotazione con un Metodo di pagamento diverso o secondo scadenze di pagamento differenti.

2.11.1.5 Se non fosse in grado di riscuotere il tuo pagamento, Airbnb Payments ti comunicherà questo evento di pagamento rifiutato e ti chiederà di completare il pagamento utilizzando un Metodo di pagamento alternativo entro 72 ore dall'avviso. Se non porti a termine il pagamento, autorizzi Airbnb a cancellare la prenotazione a tuo nome. Se la prenotazione viene cancellata, otterrai un rimborso in base ai termini di cancellazione dell'Host.

2.11.2 Pagamenti periodici

2.11.2.1 Per alcune prenotazioni (ad esempio, prenotazioni di Alloggi di almeno ventotto (28) notti), Airbnb Payments può richiedere a un Ospite di effettuare pagamenti periodici e incrementali fino al saldo del Prezzo totale dovuto ("Pagamenti periodici"). Ulteriori informazioni sui Pagamenti periodici (ivi inclusi l'importo e la periodicità degli stessi) saranno rese disponibili tramite la Piattaforma Airbnb, se applicabili a una prenotazione.

2.11.2.2 Se i Pagamenti periodici si applicano a una prenotazione confermata, l'Ospite autorizza Airbnb Payments a riscuotere il Prezzo totale dovuto.

2.11.2.3 Gli Ospiti possono interrompere un Pagamento periodico informandone Airbnb Payments verbalmente o per iscritto con un preavviso di almeno tre (3) giorni lavorativi dalla data di addebito prevista. Airbnb Payments potrebbe avere necessità di una conferma per iscritto della richiesta di interruzione del pagamento entro quattordici (14) giorni dalla comunicazione verbale. In caso di mancata conferma per iscritto entro i suddetti quattordici (14) giorni come richiesto, Airbnb Payments non è obbligata a soddisfare la richiesta di interrompere futuri Pagamenti periodici. Per qualsiasi domanda relativa ai Pagamenti periodici, contatta Airbnb Payments.

2.12 Acquista ora, paga più tardi

Di tanto in tanto, agli ospiti può essere offerta la possibilità di pagare la Prenotazione di un Alloggio a credito o con altre opzioni rateali dilazionate nel tempo ("Acquista ora, paga più tardi"). Questi Metodi di pagamento verranno forniti da Klarna Bank AB (o dalla sua affiliata) e non da Airbnb. Inoltre, saranno soggetti a termini di utilizzo aggiuntivi indicati al momento del pagamento, e Klarna diventerà il tuo creditore per il pagamento. A seconda del Metodo di pagamento, ciò creerà anche una relazione separata tra te in qualità di debitore e Klarna in qualità di prestatore. Verifica eventuali termini aggiuntivi applicabili prima di utilizzare questi Metodi di pagamento.

3. Termini per gli Host

3.1 Riscossione del pagamento. Airbnb Payments generalmente riscuote il Prezzo totale di una prenotazione nel momento in cui la richiesta di prenotazione dell'Ospite viene accettata dall'Host, salvo diversa indicazione.

3.2 Preferenza di pagamento valida.

3.2.1 Al fine di ricevere un Compenso, dovrai disporre di una Preferenza di pagamento valida collegata al tuo Account Airbnb. Quando aggiungi una Preferenza di pagamento al tuo account Airbnb, ti verrà richiesto di fornire a Airbnb Payments o ai terzi che elaborano i pagamenti per suo conto alcuni dati come nome, indirizzo di fatturazione e informazioni sullo strumento finanziario. A seconda della Preferenza di pagamento selezionata, potrebbero essere necessarie ulteriori informazioni, come: indirizzo di residenza, intestazione del conto, tipo di conto, numero di routing, numero di conto, indirizzo email, valuta del compenso, numero di identificazione e dati sul conto associati a un particolare elaboratore di pagamenti. Fornire le informazioni richieste è necessario affinché una Preferenza di pagamento sia valida. Le informazioni richieste da Airbnb Payments per una Preferenza di pagamento valida possono cambiare, e Airbnb Payments può richiedere dati aggiuntivi in qualsiasi momento; non fornire le informazioni richieste può comportare la trattenuta, la sospensione o la cancellazione di qualsiasi Compenso fino a quando tali dati non vengono forniti e, se necessario, convalidati.

3.2.2 Autorizzi Airbnb Payments a raccogliere e archiviare le tue Preferenze di pagamento in conformità con l'Informativa sulla privacy di Airbnb. Airbnb Payments potrebbe anche condividere le tue informazioni con le autorità pubbliche, come richiesto dalla legge applicabile.

3.3 Tempistiche del Compenso

3.3.1 Ferma restando e subordinatamente al buon fine della ricezione dei pagamenti associati da parte dell'Ospite, Airbnb Payments avvierà generalmente il pagamento dei Compensi sulla Preferenza di pagamento da te selezionata: (i) per gli Alloggi, 24 ore dopo l'ora di check-in programmata dell'Ospite (o 24 ore dopo le 15:00, ora locale o le 15:00, ora UTC, se l'ora locale è sconosciuta o se l'ora di check-in è flessibile o non specificata); (ii) per le Esperienze, 24 ore dopo l'inizio delle stesse; e (iii) per tutti gli altri Servizi dell'Host all'ora specificata tramite la Piattaforma Airbnb. Per prenotazioni di Alloggi di almeno ventotto (28) notti, Airbnb Payments di solito avvia il pagamento del primo compenso 24 ore dopo l'orario programmato per il check-in dell'Ospite e quello dei compensi futuri ogni 30 giorni dopo il compenso iniziale, per tutta la durata del soggiorno.

3.3.2 Airbnb Payments può offrirti una diversa tempistica per il Compenso o un evento di attivazione differente del pagamento tramite la Piattaforma Airbnb. Il tempo necessario per ricevere i Compensi una volta erogati da Airbnb Payments può dipendere dalla Preferenza di pagamento da te selezionata.

3.4 Compenso. Il tuo Compenso per una prenotazione corrisponderà al Prezzo totale meno i costi applicabili, come i costi del servizio Airbnb e le relative imposte, oltre a qualsiasi importo che accetti di accreditare a qualsiasi co-host o proprietario di un Alloggio, a un'associazione di proprietari di immobili e/o al loro agente (come un operatore immobiliare o una società di gestione immobiliare). In caso di cancellazione di una prenotazione confermata, Airbnb Payments ti rimborserà l'importo dovuto (se applicabile) come previsto nei Termini e nei termini di cancellazione applicabili.

3.5 Restrizioni ai Compensi. Airbnb Payments può temporaneamente trattenere, sospendere o annullare qualsiasi Compenso per prevenire attività illecite o frodi, valutare rischi o problemi di sicurezza, o condurre un'indagine, oppure laddove non fosse in grado di verificare la tua identità o quella dei tuoi rappresentanti o titolari effettivi, o per ottenere o verificare le informazioni richieste. Inoltre, Airbnb Payments può temporaneamente trattenere, sospendere o ritardare l'avvio o l'elaborazione di qualsiasi Compenso a te dovuto ai sensi dei Termini a seguito di un alto volume di cancellazioni o modifiche delle prenotazioni derivanti da un Evento di Forza Maggiore (come definito di seguito).

3.6 Valuta del compenso. Airbnb Payments verserà i tuoi Compensi nella valuta da te selezionata tramite la Piattaforma Airbnb. Le valute disponibili potrebbero essere limitate per motivi normativi oppure operativi in base a fattori come la Preferenza di pagamento selezionata, il paese di residenza e/o le controparti contrattuali di Airbnb Payments. Eventuali limitazioni saranno comunicate tramite la Piattaforma Airbnb, e ti sarà richiesto di selezionare una valuta o una Preferenza di pagamento diverse. I fornitori di servizi di pagamento potrebbero addebitare costi di transazione, di conversione valutaria o altri costi in base alla valuta o alla Preferenza di pagamento che selezioni, e Airbnb Payments non è responsabile per tali costi e declina ogni responsabilità al riguardo.

3.7 Limiti ai Compensi. Per motivi di conformità oppure operativi, Airbnb Payments può limitare l'importo di un Compenso. Se è dovuto un importo superiore a tale limite, Airbnb Payments può accreditare una serie di Compensi (potenzialmente nel corso di più giorni) al fine di corrisponderti l'importo completo del Compenso originario.

3.8 Fornitori di Servizi di pagamento. Le Preferenze di pagamento possono comportare il ricorso a fornitori di Servizi di pagamento di terze parti. Tali fornitori potrebbero addebitarti costi aggiuntivi al momento dell'elaborazione dei Compensi in connessione ai Servizi di pagamento (inclusa la deduzione degli addebiti dall'importo del Compenso), e Airbnb Payments non è responsabile per alcuno dei suddetti costi e declina qualsiasi responsabilità al riguardo. La tua Preferenza di pagamento potrebbe anche essere soggetta a termini di utilizzo aggiuntivi da parte di tali fornitori di Servizi di pagamento di terze parti. Verifica questa eventualità prima di indicare la tua Preferenza di pagamento.

3.9 La Preferenza di pagamento è tua responsabilità. Fatto salvo quanto indicato nelle Sezioni 17 o 18, Airbnb Payments non è responsabile per alcuna perdita che subisci a causa di informazioni sulla Preferenza di pagamento non corrette da te fornite.

3.10 Diverse modalità per ricevere i pagamenti

3.10.1 Compensi suddivisi

Se fornisci i Servizi dell'Host congiuntamente a uno o più Host come parte di un team, di un'azienda o di un'altra organizzazione ("Team dell'Host"), Airbnb può mettere a disposizione di tali Host l'opzione di ripartire tra i membri del Team dell'Host il Compenso totale dell'Host per una prenotazione. Airbnb Payments effettuerà tali pagamenti su istruzione di uno o più membri del Team dell'Host, e gli Host sono responsabili dell'accuratezza delle suddette istruzioni.

3.11 Acquista ora, paga più tardi.

Se un Ospite in Germania sceglie di pagare la Prenotazione di un Alloggio utilizzando l'opzione Klarna "Acquista ora, paga più tardi" (diversa dall'opzione Paga in 3 rate), si applicano i presenti termini aggiuntivi per gli Host.

4. Nomina di Airbnb Payments come Agente per la mera riscossione dei pagamenti

4.1 Ciascun Host, incluso ciascun membro del Team dell'Host, nomina Airbnb Payments come agente per la riscossione dei pagamenti dell'Host esclusivamente allo scopo limitato di accettare ed elaborare, per conto dell'Host, fondi provenienti dagli Ospiti che acquistano Servizi dell'Host.

4.2 Ciascun Host, incluso ciascun membro del Team Host, accetta che il pagamento effettuato da un Ospite tramite Airbnb Payments, sia considerato come un pagamento effettuato direttamente all'Host, e l'Host fornirà il Servizio dell'Host prenotato dall'Ospite secondo le modalità concordate come se l'Host avesse ricevuto il pagamento direttamente dall'Ospite. Ciascun Host accetta che Airbnb Payments possa rimborsare l'Ospite in conformità con i Termini. Ciascun Host comprende che l'obbligo di Airbnb Payments di pagare l'Host è soggetto e subordinato al buon fine della ricezione dei relativi pagamenti da parte dell'Ospite. Airbnb Payments garantisce i pagamenti agli Host solo per gli importi che sono stati ricevuti con successo da Airbnb Payments e che provengono dagli Ospiti in conformità ai presenti Termini di pagamento. Nell'accettare l'incarico come agente per la mera riscossione dei pagamenti dell'Host, le responsabilità di Airbnb Payments sono limitate a quelle stabilite nella presente Sezione 4.2 e la stessa non si assume alcuna responsabilità per eventuali atti od omissioni dell'Host. Ai sensi della Sezione 11, Airbnb Payments si assume la responsabilità per qualsiasi atto causato dalla propria negligenza e per le sue violazioni dei diritti dell'utente in qualità di consumatore ai sensi della legge applicabile.

4.3 Ciascun Ospite riconosce e accetta che, indipendentemente dal fatto che Airbnb Payments non sia parte dell'accordo tra te e l'Host, compreso qualsiasi Membro del Team dell'Host, Airbnb Payments agirà in veste di agente responsabile per la riscossione dei pagamenti allo scopo esclusivo di accettare per conto dell'Host pagamenti da parte tua. Al momento del pagamento dei fondi a Airbnb Payments da parte di un Ospite, gli obblighi di pagamento dell'Ospite nei confronti dell'Host per l'importo concordato si estinguono e Airbnb Payments è responsabile del versamento agli Host dei fondi ricevuti con successo da Airbnb Payments secondo le modalità descritte nei presenti Termini di pagamento. Nel caso in cui Airbnb Payments non versi tali importi, l'Host potrà agire solo nei confronti di Airbnb Payments e non nei confronti dell'Ospite direttamente.

5. Termini generali

5.1 Costi. Airbnb Payments può addebitare dei costi per l'uso di determinati Servizi di pagamento e qualsiasi costo applicabile ti sarà comunicato nei Termini o attraverso la Piattaforma Airbnb.

5.2 Autorizzazioni di pagamento. Autorizzi Airbnb Payments a riscuotere da te gli importi dovuti ai sensi dei presenti Termini di pagamento e/o dei Termini tramite (i) addebito sul Metodo di pagamento associato alla prenotazione in questione o su qualsiasi altro Metodo di pagamento registrato e autorizzato nel tuo account Airbnb (a meno che tu non abbia precedentemente revocato l'autorizzazione ad addebitare tali Metodi di pagamento) o (ii) trattenendo l'importo dal tuo futuro Compenso. Nello specifico autorizzi Airbnb Payments a prelevare da te:

  • Qualsiasi importo dovuto a Airbnb o a Airbnb Payments (ad esempio relativo a prenotazioni, Modifiche della prenotazione, cancellazioni, o altre azioni effettuate in qualità di Ospite, Host, oppure utente della Piattaforma Airbnb), tra cui i rimborsi per i costi prepagati da Airbnb o da Airbnb Payments per tuo conto. Tutti i fondi riscossi da Airbnb Payments compenseranno l'importo da te dovuto a Airbnb o a Airbnb Payments ed estingueranno il tuo obbligo di pagamento nei confronti di Airbnb o di Airbnb Payments.
  • Qualsiasi importo dovuto a un Host da un Ospite che Airbnb preleva in qualità di agente di riscossione del pagamento dell'Host, come ulteriormente descritto nella precedente Sezione 4.
  • Imposte, ove applicabili e come indicato nei Termini.
  • Qualsiasi importo da te pagato attraverso il Centro Soluzioni associato al tuo account Airbnb.
  • Qualsiasi importo relativo a Richieste di risarcimento dovuto a Airbnb o a Airbnb Payments in conformità con i Termini e la Sezione 6.
  • Penalità per soggiorno oltre la scadenza pagabili ai sensi dei Termini, inclusi eventuali costi e spese sostenuti per la loro riscossione.
  • Qualsiasi costo del servizio o di cancellazione previsto dai Termini (ad esempio, se, in qualità di Host, cancelli una prenotazione confermata).
  • Qualsiasi importo già pagato a te in qualità di Host nonostante un Ospite abbia cancellato una prenotazione confermata o Airbnb abbia deciso di cancellare una prenotazione in conformità ai Termini, ai Termini di riprenotazione e rimborso, alle Condizioni di Rimborso Ospiti per le Esperienze, ai Termini delle Circostanze Attenuanti o ad altri termini di cancellazione applicabili. Accetti che, nel caso in cui tu abbia già ricevuto un compenso, Airbnb Payments avrà il diritto di recuperare da te l'importo dell'eventuale rimborso all'ospite, anche sottraendolo da qualsiasi Compenso futuro dovuto a te.

Se devi saldare un importo dopo una prenotazione, ad esempio con un Piano di Pagamento o con addebiti per Pagamenti ricorrenti, Modifiche della prenotazione, pagamenti del Centro Soluzioni o Richieste di risarcimento ("Importi aggiuntivi"), con i presenti Termini di pagamento autorizzi e concedi a Airbnb Payments il mandato a riscuotere tali Importi aggiuntivi addebitando il tuo Metodo di pagamento associato alla prenotazione in questione senza alcuna ulteriore azione da parte tua. Airbnb Payments ti invierà una comunicazione scritta prima dell'addebito di eventuali Importi aggiuntivi.

Se il tuo Metodo di pagamento associato alla prenotazione in questione è scaduto, non valido o altrimenti non addebitabile per qualsiasi motivo (ad esempio per fondi insufficienti), rimani responsabile per qualunque importo non riscosso e Airbnb Payments può addebitare nuovamente il Metodo di pagamento relativo alla tua prenotazione o utilizzare qualsiasi altro Metodo di pagamento registrato associato al tuo account Airbnb, se disponibile, per riscuotere tali Importi aggiuntivi. Agli importi non riscossi per qualsiasi motivo sarà applicato qualunque rimedio disponibile, incluso, a titolo esemplificativo ma non esaustivo, il deferimento a un'agenzia di riscossione crediti o il perseguimento delle azioni o pretese disponibili contro di te.

Se Airbnb ritiene in modo ragionevole che tu, in qualità di Host, abbia partecipato ad attività fraudolente, ad esempio truffe relative alle prenotazioni, basate su finti pagamenti in eccesso da rimborsare o di altro tipo, e Airbnb Payments ha già elaborato il Compenso per tale soggiorno, Airbnb Payments può recuperare tale importo dai tuoi Compensi futuri.

In aggiunta agli importi dovuti, come descritto sopra, qualora esistessero importi a noi dovuti ma insoluti o ristorni associati al tuo Metodo di pagamento, ti potrebbero essere addebitati costi legati al recupero di tali importi o ristorni da parte di Airbnb Payments. Essi possono includere imposte di riscossione, costi di servizio o altri oneri di terzi.

5.3 Riscossioni da parte di Ospiti e Host

5.3.1 Nel caso in cui Airbnb Payments non sia in grado di riscuotere qualsiasi importo da te dovuto in quanto Ospite oppure Host, ai sensi dei Termini e dei presenti Termini di pagamento, Airbnb Payments potrà ricorrere a procedure di recupero crediti.

5.3.2. Airbnb Payments considererà qualsiasi importo dovuto come scaduto quando: (a) per le spese autorizzate siano trascorsi centoventi (120) giorni dal primo tentativo di addebito da parte di Airbnb Payments sul Metodo di pagamento dell'Ospite o dalla fornitura dei relativi servizi, a seconda di quale dei due eventi si verifichi per ultimo; e (b) per le trattenute sui futuri Compensi di un Host, siano trascorsi duecentosettanta (270) giorni dopo la modifica all'account dell'Host o dalla fornitura dei relativi servizi, a seconda di quale si verifichi per ultima.

5.3.3 Airbnb Payments riterrà tutti gli importi scaduti e non riscossi come insoluti quando siano trascorsi trecentosessantacinque (365) giorni: (a) per le spese autorizzate sul tuo Metodo di pagamento in relazione a una transazione dell'Ospite dal primo tentativo di addebito da parte di Airbnb Payments sul tuo Metodo di pagamento o dalla fornitura dei relativi servizi, a seconda di quale dei due eventi si verifichi per ultimo; e (b) per le trattenute sui futuri Compensi di un Host, dopo la modifica all'account dell'Host o dalla fornitura dei relativi servizi, a seconda di quale si verifichi per ultima.

5.3.4 Dichiari espressamente di accettare che tutte le comunicazioni in materia di importi dovuti avvengano tramite posta elettronica o per telefono, utilizzando i contatti da te forniti a Airbnb e/o Airbnb Payments. Tali comunicazioni possono essere effettuate da Airbnb, Airbnb Payments o da chiunque per loro conto, compresi, a titolo esemplificativo, terzi responsabili del recupero crediti.

5.4 Errori nell'elaborazione di un pagamento

5.4.1. Airbnb Payments prenderà provvedimenti per correggere eventuali errori nell'elaborazione di un pagamento di cui viene a conoscenza. Tali provvedimenti possono comprendere l'accredito o l'addebito (come necessario) sulla Preferenza di pagamento o sul Metodo di pagamento che avevi utilizzato o selezionato, in modo che le somme che pagherai o riceverai saranno corrette. I provvedimenti descritti sopra possono essere adottati da Airbnb Payments o da terzi, come per esempio dal tuo istituto finanziario. Possiamo inoltre adottare provvedimenti per recuperare fondi a te inviati per errore (incluso, a titolo esemplificativo ma non esaustivo, casi di duplicazione di pagamento causati da un errore di elaborazione). Per gli Host, ciò può includere la detrazione dai tuoi futuri Compensi.

5.4.2 Nella misura in cui ricevi fondi per errore, accetti di restituire immediatamente gli stessi a Airbnb Payments.

5.5 Rimborsi

5.5.1 Tutti i rimborsi o crediti dovuti a un Membro ai sensi dei Termini, dei Termini delle Circostanze Attenuanti, dei Termini di riprenotazione e rimborso e delle Condizioni di Rimborso Ospiti per le Esperienze verranno avviati e versati da Airbnb Payments conformemente ai presenti Termini di pagamento.

5.5.2 Ai sensi della presente Sezione 5.5.2, Airbnb Payments avvierà immediatamente la procedura di rimborso. In caso di cancellazione da parte di un Host, Airbnb Payments tratterrà i fondi relativi per un massimo di 72 ore fino a quando l'Ospite non riceverà un rimborso o i fondi non saranno utilizzati per effettuare una nuova prenotazione presso un altro Host. In nessun momento Airbnb Payments deterrà i fondi per conto dell'Ospite o fornirà all'Ospite un servizio di pagamento. In alcuni casi, la procedura di rimborso può includere l'opzione di ricevere un credito al posto di un rimborso in denaro; se questa opzione è messa a tua disposizione, la tempistica del rimborso sarà comunicata tramite la Piattaforma Airbnb. Il tempo necessario per ricevere qualsiasi rimborso in denaro o per sbloccare un'eventuale pre-autorizzazione del tuo Metodo di pagamento varierà in base a quest'ultimo e alle regole del sistema di pagamento (Visa, Mastercard e simili) applicabili. In caso di Evento di forza maggiore che possa influenzare l'elaborazione e la liquidazione dei rimborsi, Airbnb Payments avvierà ed elaborerà il rimborso non appena possibile.

6. Richieste di risarcimento e importi dei danni

6.1 Se sei responsabile del pagamento di importi relativi a Richieste di risarcimento ai sensi della Sezione 15 dei Termini, Airbnb, tramite Airbnb Payments, può addebitare il Metodo di pagamento che hai utilizzato per effettuare la prenotazione o qualsiasi altro Metodo di pagamento associato al tuo account Airbnb al momento della Richiesta di risarcimento o in un periodo successivo ragionevole, al fine di riscuotere importi relativi a Richieste di risarcimento, fino all'importo massimo definito alla Sezione 15 dei Termini. Per facilitare questo addebito, quando prenoti un Alloggio, accetti che Airbnb, tramite Airbnb Payments, possa addebitare il Metodo di pagamento utilizzato per effettuare la prenotazione al fine di riscuotere gli importi della Richiesta di risarcimento.

6.2 Accetti che Airbnb Payments possa cercare di rivalersi su di te in base alla polizza assicurativa da te stipulata e che possa anche agire contro di te con qualsiasi rimedio disponibile, incluso, a titolo esemplificativo e non esaustivo, il deferimento a un'agenzia di riscossione crediti o il perseguimento di cause di azione o pretese contro di te, anche in relazione a qualsiasi Richiesta di risarcimento o richiesta di pagamento presentata dagli Host ai sensi della Protezione danni per host.

7. Beni Abbandonati

7.1 Se Airbnb Payments detiene fondi a te dovuti e non è stata in grado di pagarteli ("Beni Abbandonati") in conformità con la Sezione 7.2, potremmo, in base alla legge applicabile e al relativo periodo di limitazione, trattenere i Beni Abbandonati che altrimenti ti sarebbero stati dovuti e non avrai più alcun diritto su di essi.

7.2 Ai sensi della legge applicabile, i fondi detenuti per te da Airbnb Payments saranno considerati Beni Abbandonati laddove ricorra una delle seguenti condizioni:

  • Non abbiamo registrato un Metodo di pagamento o una Preferenza di Pagamento validi per te e non hai risposto alle nostre richieste di fornirci un Metodo di Pagamento o una Preferenza di Pagamento validi.
  • Abbiamo bisogno di ulteriori informazioni per elaborare il pagamento e non hai risposto alle nostre richieste di fornirle.
  • Il tuo account Airbnb è rimasto "inattivo" (ossia, non è stato utilizzato) per il periodo di limitazione applicabile e non hai risposto alle nostre richieste di contattarci.

8. Attività proibite

8.1 È tua esclusiva responsabilità osservare qualsiasi legge, norma, regolamento e obbligo fiscale che possa applicarsi all'utilizzo dei Servizi di pagamento da parte tua. In relazione all'uso dei Servizi di pagamento, non dovrai e non assisterai o consentirai ad altri di:

  • violare o eludere qualsiasi legge o regolamento applicabile, incluso facilitare a chiunque altro di violare o eludere qualsiasi legge o regolamento applicabile.
  • violare o eludere eventuali accordi con terzi, diritti di terzi o i Termini, i Termini legali aggiuntivi, le Politiche o gli Standard.
  • utilizzare i Servizi di pagamento per qualsiasi scopo commerciale o altre finalità che non siano espressamente autorizzati dai presenti Termini di pagamento.
  • registrare o utilizzare sull'Account Airbnb Metodi di pagamento o Preferenze di pagamento che non ti appartengono o che non hai l'autorizzazione a utilizzare.
  • evitare, aggirare, rimuovere, disattivare, danneggiare, decodificare o altrimenti eludere qualsivoglia misura tecnologica implementata da Airbnb Payments o da qualsiasi fornitore di servizi di Airbnb Payments o da qualunque terza parte per proteggere i Servizi di pagamento.
  • intraprendere qualsiasi azione che danneggi o influenzi negativamente, o che potrebbe danneggiare o influenzare negativamente, le prestazioni o il corretto funzionamento dei Servizi di pagamento.
  • cercare di decifrare, decodificare, disinstallare o decompilare qualsivoglia software utilizzato per fornire i Servizi di pagamento.
  • violare i diritti di terzi o altrimenti causare danno ad alcuna persona.

8.2 Siamo tenuti ad agire in conformità con le nostre politiche interne e le leggi di varie autorità locali relative alla prevenzione del riciclaggio di denaro e all'attuazione di sanzioni, tra cui: (i) sanzioni economiche o finanziarie o embarghi commerciali imposti, amministrati o applicati di volta in volta dal governo degli Stati Uniti, compresi quelli amministrati dall'Office of Foreign Asset Control o dal Dipartimento di Stato degli Stati Uniti; o (ii) dal Consiglio di sicurezza delle Nazioni Unite, dall'Unione europea o dal Tesoro di Sua Maestà del Regno Unito. Ti impegni a rispettare tutte le pertinenti sanzioni finanziarie e le leggi sul controllo delle esportazioni applicabili a te e al tuo territorio.

9. Forza maggiore

Airbnb Payments non sarà responsabile per eventuali ritardi o inadempienze ai sensi dei presenti Termini di pagamento derivanti da circostanze anormali o imprevedibili al di fuori del ragionevole controllo di Airbnb or Airbnb Payments, le cui conseguenze sarebbero state inevitabili nonostante tutti gli sforzi profusi, tra cui, a titolo esemplificativo ma non esaustivo, calamità naturali, guerre, terrorismo, sommosse, embarghi, atti di autorità civili o militari, incendi, inondazioni, incidenti, pandemie, epidemie o malattie, scioperi o carenze di mezzi di trasporto, carburante, energia, manodopera o materiali ("Evento di forza maggiore").

10. Esclusioni di responsabilità

10.1 Se scegli di utilizzare i Servizi di pagamento, lo fai volontariamente a tuo unico rischio.

10.2 Indipendentemente dalla nomina di Airbnb Payments come agente per la mera riscossione dei pagamenti degli Host ai sensi della Sezione 4, Airbnb Payments declina esplicitamente, in conformità con la Sezione 11, qualsivoglia responsabilità per azioni od omissioni di qualsiasi Membro o di terzi. Airbnb Payments non ha alcun dovere od obbligo come agente per ciascun Host fatto salvo per quanto espressamente previsto nei presenti Termini di pagamento; qualsiasi obbligo o dovere che possa essere implicitamente desunto dalla legge, nella misura massima consentita dalla legge, è espressamente escluso.

10.3 Se decidiamo di o siamo tenuti a svolgere verifiche dell'identità su qualsiasi Membro, escludiamo, nei limiti consentiti dalla legge applicabile, qualsiasi forma di garanzia, esplicita o implicita, in relazione al fatto che tali controlli identifichino precedenti condotte improprie di un Membro o garantiscano che un Membro non ponga in essere tali condotte in futuro. Non siamo responsabili per precedenti condotte improprie di un Membro di cui non siamo a conoscenza.

10.4 La dichiarazione di non responsabilità di cui sopra si applica nella misura massima consentita dalla legge. Puoi essere titolare di ulteriori diritti o garanzie che non possono essere legalmente escluse. Tuttavia, la durata di qualsiasi garanzia legalmente prevista sarà limitata alla misura massima (se esistente) consentita dalla legge.

11. Responsabilità

11.1 Fatte salve le sezioni seguenti, e nella misura massima consentita dalla legge applicabile, la responsabilità di Airbnb Payment sarà limitata e l'intero rischio derivante dal tuo accesso e uso dei Servizi di pagamento ricade su di te. Se acconsenti o autorizzi un'altra persona a utilizzare il tuo Account Airbnb, sei responsabile delle azioni messe in atto da tale persona.

11.2 Airbnb Payments non sarà responsabile per eventuali perdite dovute al proprio rispetto degli obblighi imposti dalla legge applicabile. Airbnb Payments declina inoltre ogni responsabilità in caso di perdite derivanti da azioni od omissioni dell'utente o di un altro Membro, tra cui, ad esempio, eventuali violazioni dei presenti Termini di pagamento o della legge applicabile, oppure nel caso in cui l'utente o un altro Membro abbiano agito in modo fraudolento o negligente.

11.3 Nessuna disposizione dei presenti Termini di pagamento limita la responsabilità di Airbnb Payments per: (i) morte o lesioni personali derivanti da azioni, omissioni o negligenza di Airbnb Payments; (ii) frode o dichiarazioni fraudolente; (iii) dolo o colpa grave; (iv) perdite direttamente causate dalla violazione da parte di Airbnb Payments dei presenti Termini di pagamento oppure (v) qualsiasi altra responsabilità che non possa essere esclusa o limitata ai sensi della legge applicabile (ivi inclusa, ad esempio, una violazione dei diritti legali dei consumatori ai sensi delle leggi e dei regolamenti in materia di pagamenti).

11.4 Airbnb Payments non sarà responsabile nei tuoi confronti in nessuna circostanza per eventuali perdite in termini di affari, reputazione, opportunità o profitto.

11.5 Nella misura in cui la responsabilità di Airbnb Payments è esclusa o limitata, ciò vale anche per quanto riguarda la responsabilità personale dei suoi rappresentanti legali, dipendenti e altri agenti.

12. Indennizzo

Nella misura massima consentita dalla legge applicabile, accetti di liberare, difendere (a scelta di Airbnb Payments), manlevare e tenere indenni Airbnb Payments e le sue società collegate e controllate, e i loro dirigenti, amministratori, dipendenti e agenti, da qualsiasi rivendicazione, responsabilità, danni, perdite e spese (inclusi, senza limitazioni, i ragionevoli onorari legali e contabili) derivanti (i) dalla tua violazione dei presenti Termini di Pagamento; (ii) dal tuo utilizzo improprio dei Servizi di Pagamento; (iii) dalla tua o nostra omissione dietro tue direttive di dichiarare, riscuotere o versare imposte, oppure (v) dalla tua violazione di qualsiasi legge, regolamento o diritto di terzi. L'obbligo di indennizzo si applica solo se e nella misura in cui le rivendicazioni, le responsabilità, i danni, le perdite e le spese sono state causate dalla tua negligenza o dalla violazione di un obbligo contrattuale.

13. Modifica, durata, risoluzione e altre misure

13.1 Modifiche. Ci riserviamo il diritto di modificare i presenti Termini di pagamento in qualsiasi momento dandoti un preavviso di almeno due (2) mesi dalla loro entrata in vigore. Ti comunicheremo le modifiche proposte tramite email, la Piattaforma Airbnb, il servizio di messaggistica o qualsiasi altro metodo di contatto da noi messo a disposizione e da te selezionato, nonché pubblicando i Termini di pagamento modificati su un link all'interno della Piattaforma Airbnb. Potrai visualizzare i Termini di pagamento modificati accedendo al link sulla Piattaforma Airbnb e, se lo desideri, potrai salvarli e stamparli. Comprendi che riterremo che tu abbia accettato le modifiche apportate ai presenti Termini di pagamento a meno che tu non risolva i presenti Termini di pagamento o chiuda il tuo account Airbnb (senza penalità) prima della scadenza del periodo di preavviso di due (2) mesi e prima che le modifiche entrino in vigore. Se sceglierai di risolvere i presenti Termini di pagamento o di chiudere il tuo account Airbnb, dovrai comunque adempiere a eventuali obblighi in sospeso ai sensi dei Termini, anche in relazione alle prenotazioni future o alla fornitura dei Servizi dell'Host.

13.2 Durata. Questo accordo tra te e Airbnb Payments è efficace (i) se sei un Ospite, dal momento in cui effettui la tua prima prenotazione; o (ii) se sei un Host, dal momento in cui un Ospite prenota per la prima volta tramite un Annuncio reso disponibile da te e utilizzi i Servizi di Pagamento, e rimane in vigore fino alla risoluzione del presente accordo da parte tua o di Airbnb in conformità con la Sezione 13.3.

13.3 Risoluzione. Puoi risolvere il presente accordo in qualsiasi momento inviandoci un'email o eliminando il tuo account Airbnb. Fatti salvi i diritti specificati di seguito, Airbnb Payments può risolvere il presente accordo anche senza giusta causa in qualsiasi momento con preavviso di due (2) mesi. Airbnb Payments può inoltre risolvere il presente accordo con effetto immediato e senza preavviso (i) in caso di violazione sostanziale da parte tua degli obblighi ai sensi del presente accordo; (ii) qualora tu abbia fornito informazioni non accurate, fraudolente, non aggiornate o incomplete (ii) se hai violato leggi, normative o diritti di terzi applicabili, o (iv) qualora Airbnb ritenga in buona fede che tale azione sia ragionevolmente necessaria per proteggere altri Membri, Airbnb, Airbnb Payments o terze parti. La risoluzione da parte tua o di Airbnb Payments del presente accordo comporterà anche la risoluzione del tuo account Airbnb ai sensi dei Termini.

13.4 Sospensione e altre misure. Airbnb Payments può limitare o sospendere temporaneamente o definitivamente il tuo accesso o utilizzo dei Servizi di Pagamento (i) per ottemperare a leggi applicabili o a un ordine o richiesta di un tribunale, delle forze dell'ordine o di un'altra autorità amministrativa od organismo governativo, o qualora (ii) hai violato i presenti Termini di Pagamento, i Termini, leggi o regolamenti applicabili o i diritti di terzi, (iii) hai fornito informazioni non accurate, fraudolente, non aggiornate o incomplete per quanto riguarda il Metodo di Pagamento o la Preferenza di pagamento, (iv) per importi dovuti ai sensi dei presenti Termini di Pagamento scaduti o insoluti, o (v) laddove Airbnb ritenga in buona fede che tale azione sia ragionevolmente necessaria per proteggere la sicurezza personale o i beni di Airbnb, dei suoi Membri, di Airbnb Payments o di terzi o per prevenire frodi o altre attività illecite. Inoltre, in caso di pagamento non andato a buon fine per scadenza della carta, fondi insufficienti o altra ragione, possiamo sospendere temporaneamente il tuo accesso ai Servizi di Pagamento fino a quando non saremo in grado di effettuare un addebito su un Metodo di Pagamento valido.

13.5 Ricorso. Se Airbnb Payments adotta una qualsiasi delle misure descritte nelle Sezioni 13.3 e 13.4, puoi ricorrere contro tale decisione contattando il nostro servizio clienti.

13.6 Effetto della risoluzione. Se chiudi il tuo account Airbnb in qualità di Host o Airbnb Payments adotta una qualsiasi delle misure sopra descritte, Airbnb Payments potrà corrispondere un rimborso totale a qualsiasi Ospite con una o più prenotazioni confermate e non avrai diritto ad alcun risarcimento per le prenotazioni in sospeso o confermate che sono state cancellate. Qualora invece chiudessi l'account Airbnb in qualità di Ospite, Airbnb Payments procederà al rimborso di tutte le prenotazioni confermate sulla base della politica di cancellazione dell'Annuncio. Se il tuo accesso a o utilizzo dei Servizi di Pagamento è stato limitato o il presente accordo è stato risolto su nostra iniziativa, non potrai registrare un nuovo account Airbnb né tentare di accedere a e utilizzare i Servizi di Pagamento attraverso un altro account Airbnb di altri Membri.

13.7 Sussistenza. Le Sezioni da 5 a 20 dei presenti Termini di Pagamento sopravvivranno a qualsiasi risoluzione o scadenza di questo accordo.

14. Diritto applicabile e risoluzione delle controversie

14.1 Se la tua controparte contrattuale è Airbnb Payments UK, i presenti Termini di pagamento saranno interpretati in conformità alle leggi inglesi. Se agisci in qualità di consumatore e se le norme di legge a protezione dei consumatori vigenti nel tuo paese di residenza contengono disposizioni per te più vantaggiose, queste ultime si applicheranno indipendentemente dalla scelta della legge inglese. Inoltre, potrai promuovere procedimenti legali relativi ai presenti Termini di pagamento solo davanti al tribunale competente del tuo luogo di residenza o davanti a un tribunale in Inghilterra. Qualora Airbnb intenda far valere i suoi diritti nei tuoi confronti in qualità di consumatore, potrà farlo solo dinanzi ai tribunali della giurisdizione in cui tu sei residente. Se invece agisci come impresa, accetti di rimetterti alla giurisdizione esclusiva dei tribunali inglesi.

14.2 Se la tua controparte contrattuale è Airbnb Payments Luxembourg, i presenti Termini di pagamento saranno interpretati in conformità alle leggi del Lussemburgo. Se agisci in qualità di consumatore e le norme di legge a protezione dei consumatori vigenti nel tuo paese di residenza contengono disposizioni per te più vantaggiose, queste ultime si applicheranno indipendentemente dalla scelta della legge del Lussemburgo. Inoltre, potrai promuovere procedimenti giudiziali relativi ai presenti Termini di Pagamento davanti al tribunale competente del tuo luogo di residenza o davanti a un tribunale in Lussemburgo. Qualora Airbnb intenda far valere i suoi diritti nei tuoi confronti in qualità di consumatore, potrà farlo solo dinanzi ai tribunali della giurisdizione in cui tu sei residente. Se invece agisci come un'impresa, accetti di rimetterti alla giurisdizione esclusiva dei tribunali del Lussemburgo.

15. Convenzione di arbitrato negli Stati Uniti

LEGGI ATTENTAMENTE I SEGUENTI PARAGRAFI: PREVEDONO CHE TU E AIRBNB PAYMENTS ACCETTIATE DI RISOLVERE TUTTE LE CONTROVERSIE TRA VOI TRAMITE UN ARBITRATO INDIVIDUALE VINCOLANTE E DI RINUNCIARE AD AZIONI COLLETTIVE E A UN PROCESSO CON GIURIA. La presente Convenzione di arbitrato sostituisce tutte le versioni precedenti.

15.1 Applicazione. La presente Convenzione di arbitrato è valida solo se la tua controparte contrattuale è Airbnb Payment US. In caso contrario, se cerchi di intentare un'azione legale contro Airbnb Payments negli Stati Uniti, si applicherà la presente Convenzione di arbitrato per stabilire se la presente Sezione 15 è valida per te e per tutte le altre determinazioni dei limiti, incluse la residenza, la sottoponibilità ad arbitrato, la sede e la legge vigente.

15.2 Panoramica del processo di risoluzione delle controversie. Airbnb Payments si impegna a partecipare a un processo di risoluzione delle controversie che tutela il consumatore. A tal fine, questi Termini prevedono un processo in due fasi per le persone fisiche alle quali si applica la presente Sezione 15: (1) una negoziazione informale direttamente con il team di assistenza clienti di Airbnb (come descritta nella Sezione 15.3) e, qualora necessario, (2) un arbitrato vincolante in conformità con i termini della presente Convenzione di arbitrato. Sia tu che Airbnb Payments avete il diritto di rivolgervi a un tribunale per controversie di modesta entità in alternativa all'arbitrato.

15.3 Risoluzione della controversia e Notifica pre-arbitrato obbligatorie. Almeno 30 giorni prima di avviare un arbitrato, tu e Airbnb Payments accettate di inviare per iscritto alla controparte una notifica personalizzata della controversia ("Notifica pre-arbitrato") ed effettuare in buona fede negoziazioni per tentare di risolverla in modo informale. Devi inviare a mezzo posta la Notifica pre-arbitrato a Airbnb Payments presso il domiciliatario di Airbnb Payments per le notifiche: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833, USA. Airbnb Payments invierà la sua Notifica pre-arbitrato all'indirizzo email associato al tuo account Airbnb. La Notifica pre-arbitrato deve includere: la data, il tuo nome, il tuo indirizzo postale, il tuo nome utente Airbnb, l'indirizzo email che hai utilizzato per creare il tuo account Airbnb, la tua firma, una breve descrizione della controversia e la risoluzione richiesta. Se le parti non sono in grado di risolvere la controversia entro 30 giorni, solo allora ciascuna delle due potrà avviare l'arbitrato presentando una richiesta scritta al fornitore designato ai sensi della seguente Sezione 15.6. Il requisito della Notifica pre-arbitrato di un richiedente è un prerequisito per qualsiasi arbitrato, e una copia della Notifica pre-arbitrato e la prova che è stata inviata come previsto dalla presente Sezione devono essere allegate a tutte le richieste di arbitrato.

15.4 Convenzione di arbitrato. L'utente e Airbnb Payments convengono mutuamente che qualsiasi vertenza, rivendicazione o controversia derivante da o relativa ai presenti Termini di pagamento o alla applicabilità, violazione, rescissione, validità, esecuzione o interpretazione degli stessi o a qualsiasi uso dei Servizi di pagamento (collettivamente, "Controversie") verrà risolta mediante arbitrato vincolante su base individuale ("Convenzione di arbitrato"). In caso di controversia relativa alla possibilità di applicare la presente Convenzione di arbitrato alla nostra Controversia, tu e Airbnb Payments accettate che l'arbitro decida in merito. Al fine di fugare ogni equivoco, tu e Airbnb accettate che qualsiasi questione relativa all'arbitrabilità e alla creazione, applicabilità, validità, portata o interpretazione della presente Sezione 15, inclusa qualsiasi controversia sulla conformità con il requisito della Notifica pre-arbitrato e la responsabilità di una parte di pagare le spese di arbitrato, sarà risolta da un arbitro.

15.5 Eccezioni alla Convenzione di arbitrato. Sia tu che Airbnb Payments accettate che le seguenti cause legali e/o richieste di risarcimento costituiscano eccezioni alla Convenzione di arbitrato e vengano sottoposte a un procedimento giudiziario in un tribunale competente (come definito nella Sezione 15): (i) qualsiasi rivendicazione o causa legale che richieda un provvedimento ingiuntivo di urgenza basato su circostanze impellenti (ad esempio, pericolo imminente o commissione di un reato, hacking, attacco informatico); (ii) una richiesta di rimedio nella forma di provvedimento ingiuntivo pubblico; (iii) una rivendicazione o una causa legale per un contenzioso di natura vessatoria; o (iv) qualsiasi rivendicazione individuale di violenza sessuale o molestie sessuali derivante dal tuo utilizzo della Piattaforma Airbnb o dei Servizi dell'Host. Tu e Airbnb Payments accettate che qualsiasi richiesta di ricorso a provvedimento ingiuntivo pubblico procederà dopo che saranno sottoposti ad arbitrato le richieste di risarcimento, i rimedi o le cause legali che lo consentono, e che sarà sospesa in attesa dell'esito dell'arbitrato ai sensi della Sezione 3 del Federal Arbitration Act.

15.6 Regole di arbitrato e legge vigente. La presente Convenzione di arbitrato attesta una transazione commerciale interstatale, e la sua interpretazione e applicazione a livello sostanziale e procedurale saranno disciplinate dal Federal Arbitration Act, e non dalla legge statale. L'arbitrato verrà gestito da ADR Services, Inc. ("ADR") (www.adrservices.com) in conformità con le Regole 1, 6–7, 8–9 e 11–12, 45, 54 e 56 delle Federal Rules of Civil Procedure ("Regolamento federale selezionato") (https://www.uscourts.gov/rules-policies/current-rules-practice-procedure/federal-rules-civil-procedure) e con le Regole di arbitrato di ADR allora in vigore ("Regolamento ADR"), a meno che le Regole federali selezionate o il Regolamento ADR non vengano modificati o siano in conflitto con la presente Convenzione di arbitrato. Il Regolamento ADR è disponibile sul sito web www.adrservices.com. Se una richiesta di arbitrato viene presentata ad ADR Services in conformità con il presente accordo e con il Regolamento ADR, ma i ADR Services non può o non amministrerà l'arbitrato, questo verrà gestito dall'American Arbitration Association ("AAA") in conformità con il Regolamento federale selezionato e con le Norme sull'arbitrato per i consumatori dell'AAA e/o con altre norme d'arbitrato dell'AAA considerate applicabili da quest'ultima ("Norme AAA") e in vigore in quel momento, fatte salve le modifiche alle stesse qui introdotte. Le Norme AAA sono disponibili alla pagina www.adr.org. Se l'AAA non può e non amministrerà l'arbitrato, tu e Airbnb Payments dovrete conferire e selezionare un foro arbitrale alternativo e, se non siamo in grado di raggiungere un accordo in merito, tu o Airbnb Payments potrete chiedere a un tribunale di nominare un arbitro ai sensi del 9 U.S.C. § 5. In tal caso, l'arbitrato sarà condotto in conformità con le regole del foro arbitrale nominato, a meno che tali regole non siano incompatibili con le disposizioni della presente Convenzione di arbitrato.

15.7 Modifica delle regole di arbitrato: udienza e sede dell'arbitrato. Al fine di rendere l'arbitrato più conveniente, efficiente e utile, qualsiasi necessaria udienza di arbitrato in cui l'importo soggetto a controversia non superi 1.000.000 USD sarà condotta a distanza tramite videoconferenza, salvo quanto diversamente concordato dalle parti o istruito dall'arbitro. Qualsiasi necessaria udienza di arbitrato in un contesto arbitrale in cui l'importo soggetto a controversia superi 1.000.000 USD sarà condotta nella Contea di San Francisco, salvo quanto diversamente concordato dalle parti o istruito dall'arbitro. Se l'importo della somma soggetta a controversia è uguale o inferiore a 10.000 USD, le parti convengono di procedere attraverso il semplice invio dei documenti all'arbitro.

15.8 Modifica delle regole di arbitrato: spese e costi per l'arbitrato. Le spese per l'arbitrato e la quota a tuo carico del compenso dell'arbitro saranno disciplinate dal Regolamento ADR e dal tariffario di ADR Services (disponibile all'indirizzo www.adrservices.com). Se hai un reddito mensile lordo inferiore al 300% delle linee guida federali sulla povertà, hai diritto a una rinuncia alle spese e ai costi di arbitrato, escluse le spese dell'arbitro. Puoi richiedere una rinuncia alle spese inviando al fornitore dell'arbitrato una dichiarazione giurata che indichi il tuo reddito mensile e il numero di persone facenti parte del tuo nucleo familiare. Se il suddetto fornitore concede una rinuncia alle spese e tu fornisci a Airbnb Payments i documenti necessari per dimostrare che il tuo reddito mensile lordo è inferiore al 300% delle linee guida federali sulla povertà, Airbnb Payments pagherà la tua parte di eventuali spese dell'arbitro.

15.9Modifica delle regole di arbitrato: reclami presentati per uno scopo improprio o in violazione della presente Convenzione di arbitrato. Ciascuna delle parti può richiedere che l'arbitro imponga sanzioni se dimostra che l'altra parte o i suoi avvocati hanno fatto valere un'azione o una difesa infondata in fatto o in diritto, promossa in malafede o a scopo di molestia, o altrimenti frivola. Come consentito dalla legge applicabile, l'arbitro imporrà sanzioni pari agli onorari e alle spese legali ragionevoli della parte richiedente se constata che un'azione o una difesa è infondata in fatto o in diritto, promossa in malafede o a scopo di molestia, asserita in violazione della Fed. R. Civ. P. 11(b) (trattando l'arbitro come "il tribunale"), o è altrimenti frivola. Ciascuna delle parti può chiedere il licenziamento di qualsiasi arbitrato depositato in violazione di qualunque disposizione della presente Convenzione di arbitrato. Ciascuna parte può far valere in arbitrato una domanda riconvenzionale per l'avvio da parte dell'altra parte di un procedimento relativo a una Controversia arbitrabile senza rispettare o altrimenti in violazione dei requisiti della presente Convenzione di arbitrato. Dopo aver rilevato che una parte ha avviato un procedimento relativo a una Controversia arbitrabile senza rispettare o altrimenti in violazione dei requisiti della presente Convenzione di arbitrato, l'arbitro riconoscerà all'altra parte i danni effettivi, inclusi, a titolo esemplificativo ma non esaustivo, le spese e i costi ragionevoli degli avvocati.

15.10 Lodo arbitrale. L'arbitro emetterà una decisione scritta che dovrà includere gli elementi essenziali e le conclusioni su cui si è fondata. Il lodo arbitrale può essere confermato da qualunque tribunale competente in materia. L'arbitro può concedere qualsiasi rimedio consentito dalla legge o dalle Norme AAA, ma il rimedio dichiarativo o ingiuntivo può essere emesso esclusivamente su base individuale e solo nella misura necessaria a fornire un provvedimento giustificato dalla domanda individuale del ricorrente.

15.11 Rinuncia al processo con giuria. Tu e Airbnb Payments riconoscete e concordate di rinunciare al rispettivo diritto a un processo con giuria per quanto riguarda tutte le Controversie arbitrabili.

15.12 Divieto di azioni collettive o procedimenti rappresentativi. Tu e Airbnb Payments riconoscete e convenite di rinunciare, nella misura massima consentita dalla legge, al rispettivo diritto di partecipare in qualità di ricorrente o come membro di una classe a qualsiasi eventuale class action o azione collettiva, arbitrato collettivo, azione collettiva nell'interesse pubblico o ad altre forme di procedimenti rappresentativi o riuniti. Fatto salvo quanto diversamente concordato per iscritto tra te e Airbnb, l'arbitro non potrà riunire le richieste di risarcimento di più di una parte e non potrà comunque presiedere a qualsivoglia forma di azione collettiva o procedimento rappresentativo. In caso di pronuncia giudiziale definitiva secondo la quale la legge applicabile impedisce l'applicabilità della rinuncia contenuta in questo paragrafo a qualsiasi azione, rivendicazione o rimedio richiesto, allora tale azione, rivendicazione o rimedio richiesto, e solo tale azione, rivendicazione o rimedio richiesto, sarà escluso dalla presente convenzione di arbitrato e verrà sottoposto a un tribunale della giurisdizione competente. Nel caso in cui un'azione, una rivendicazione o un rimedio richiesto venga escluso ai sensi del presente paragrafo, allora si conviene che le azioni, le rivendicazioni o i rimedi richiesti che non sono soggetti ad arbitrato saranno sospesi fino a quando l'arbitro non si sarà pronunciato su tutte le azioni e le rivendicazioni arbitrabili e i rimedi richiesti.

15.13 Rinuncia all'azione di massa. Tu e Airbnb Payments riconoscete e concordate che i relativi vantaggi ed efficienze dell'arbitrato possono essere persi quando vengono presentate 100 o più richieste di arbitrato entro 180 giorni che (1) coinvolgono parti uguali o simili; (2) si basano su rivendicazioni uguali o simili derivanti da transazioni, incidenti, presunte violazioni o eventi uguali o pressoché identici che richiedono la determinazione delle stesse o sostanzialmente identiche questioni di diritto o di fatto e (3) coinvolgono gli stessi o coordinati consulenti delle parti ("Azione di massa"). Di conseguenza, tu e Airbnb Payments convenite di rinunciare al diritto di amministrare, arbitrare o risolvere qualsiasi Controversia nell'ambito di un'Azione di massa (sebbene le Sezioni 15 e 15.12 dei presenti Termini continueranno ad applicarsi a tale Controversia). In tal caso, l'arbitro nominato per la prima questione istituita nell'ambito di una serie di rivendicazioni individuate da una delle parti deciderà se tali rivendicazioni fanno parte di un'Azione di massa. Se non è stato ancora nominato alcun arbitro, ne sarà nominato uno esclusivamente per determinare se le rivendicazioni identificate da una delle parti fanno parte di un'Azione di Massa. Nessun elemento della presente disposizione impedisce a te o a Airbnb Payments di partecipare a una liquidazione collettiva dei sinistri.

15.14 Modifiche al Regolamento di arbitrato: requisiti per la creazione di scaglioni per le Azioni di massa. Se per qualsiasi ragione, nonostante quanto disposto dalla Sezione 15.13, un arbitrato dovesse procedere come parte di un'Azione di Massa, le parti raggrupperanno le richieste di arbitrato in scaglioni non superiori a 200. Gli scaglioni devono essere determinati elencando i richiedenti in ordine alfabetico (per cognome o ragione sociale, a seconda dei casi): ad esempio, i primi 200 richiedenti elencati saranno il primo scaglione, i successivi 200 richiedenti elencati saranno il secondo scaglione e così via. Le parti assegneranno in modo casuale a ciascuno scaglione un numero sequenziale e arbitreranno gli scaglioni uno alla volta, in ordine sequenziale. Durante l'arbitrato di uno scaglione, il fornitore dell'arbitrato terrà il resto in sospeso, salvo ove diversamente concordato dalle parti o istruito dal fornitore dell'arbitrato. Ogni lotto deve essere risolto entro 240 giorni dalla conferenza pre-udizione per quello scaglione. Fermo restando quanto sopra, se la richiesta di qualsiasi ricorrente non è stata oggetto di una conferenza pre-udizione entro 2 anni dall'ultima richiesta presentata nell'Azione di massa, tale ricorrente può scegliere di perseguire le richieste di risarcimento avanzate nella richiesta del ricorrente in tribunale ai sensi delle Sezioni 14 e 15.12 dei presenti Termini.

15.15 Modifiche al Regolamento di arbitrato - Offerte di giudizio. Almeno 10 giorni prima della data fissata per l'udienza di arbitrato, tu o Airbnb Payments potete inviare un'offerta scritta di giudizio all'altra parte per consentire il giudizio a termini specificati. Se l'offerta viene accettata, l'offerta con la prova di accettazione sarà presentata al fornitore dell'arbitrato, che emetterà un lodo di conseguenza. Se l'offerta non viene accettata prima dell'udienza di arbitrato o entro 30 giorni dalla sua presentazione, a seconda di quale evento si verifichi per primo, si considera ritirata e non può essere fornita come prova nell'arbitrato, se non per quanto riguarda i costi (inclusi tutti gli onorari pagati al fornitore dell'arbitrato). Se un'offerta presentata da una parte non viene accettata dall'altra parte e quest'ultima non riesce a ottenere un lodo più favorevole, l'altra parte non recupererà i costi post-offerta e pagherà i costi dell'offerta (comprese tutte le commissioni pagate al fornitore dell'arbitrato) dal momento della stessa.

15.16 Separabilità. Fatto salvo quanto previsto nella Sezione 15.12, nel caso in cui qualsiasi disposizione della presente Convenzione di arbitrato dovesse essere ritenuta illegale o inapplicabile, tale disposizione dovrà essere eliminata, mentre le restanti disposizioni della Convenzione di arbitrato rimarranno in pieno vigore ed effetto.

15.17 Modifica della Convenzione di arbitrato. Se Airbnb Payments apporta delle modifiche alla presente Sezione 15 dopo l'ultima data in cui hai accettato i presenti Termini di Pagamento (o hai accettato qualunque successiva modifica degli stessi), puoi rifiutare tali modifiche dandocene notifica scritta entro e non oltre trenta (30) giorni dalla data in cui tale modifica è entrata in vigore. L'avviso deve includere il tuo nome, il tuo indirizzo postale, la data dell'avviso, il tuo nome utente Airbnb, l'indirizzo email che hai utilizzato per creare il tuo account Airbnb, la tua firma e una dichiarazione inequivocabile che desideri rifiutare le disposizioni indicate nella Sezione 15 modificata. Devi spedire l'avviso per posta all'indirizzo 888 Brannan St, San Francisco, CA 94103, USA Attn: Arbitration Opt-Out oppure inviarlo tramite email ad arbitration.opt.out@airbnb.com. Il rifiuto di una nuova modifica, tuttavia, non revoca o modifica il tuo precedente consenso a una qualsiasi convenzione precedente di sottoporre ad arbitrato qualsiasi Controversia tra te e Airbnb Payments (o il tuo precedente consenso a eventuali modifiche successive), che rimarrà in vigore e applicabile per qualsiasi Controversia tra te e Airbnb Payments.

15.18 Sussistenza. Fatto salvo quanto previsto nella Sezione 15.16 e soggetto alla Sezione 13.7, la presente Sezione 15 sopravvivrà alla risoluzione dei presenti Termini di Pagamento e continuerà ad applicarsi anche se tu cessi di usare i Servizi di Pagamento o elimini l'Account Airbnb.

16. Varie ed eventuali

16.1 Interpretazione dei presenti Termini di Pagamento. Salvo qualora siano integrati da termini e condizioni, politiche, linee guida o standard aggiuntivi, i presenti Termini di Pagamento costituiscono l'intero accordo tra te e Airbnb Payments per quanto riguarda l'oggetto del presente atto e sostituiscono qualsiasi precedente contratto o accordo orale o scritto tra te e Airbnb Payments in merito ai Servizi di pagamento. Qualora qualsiasi disposizione dei presenti Termini di Pagamento dovesse essere ritenuta nulla o inapplicabile, tale disposizione sarà eliminata e non influirà sulla validità e applicabilità delle restanti disposizioni.

16.2 Nessuna rinuncia. L'omissione da parte di Airbnb Payments nel far rispettare qualsiasi diritto o disposizione di cui ai presenti Termini di Pagamento non costituirà una rinuncia a tale diritto o disposizione, salvo che ciò non sia da noi riconosciuto e accettato per iscritto. Fatto salvo quanto espressamente esposto nei presenti Termini di Pagamento, l'esercizio di una delle parti di uno qualsiasi dei rimedi a sua disposizione previsti dai presenti Termini di Pagamento lascerà impregiudicati gli altri rimedi previsti dai suddetti termini o altrimenti consentiti dalla legge.

16.3 Cessione. Non puoi cedere, trasferire né delegare il presente accordo e i diritti e obblighi qui previsti senza il previo consenso scritto di Airbnb Payments, che si riserva il diritto di cedere, trasferire o delegare il presente accordo e qualsiasi diritto e obbligo, a propria esclusiva discrezione, dandone preavviso di due (2) mesi, a condizione che ciò non riduca i tuoi diritti o vantaggi ai sensi di questi termini.

16.4 Avvisi. Salvo ove diversamente previsto, tutti gli avvisi o altre comunicazioni consentiti o previsti dal presente accordo dovranno effettuarsi per iscritto e saranno inviati da Airbnb Payments tramite email o notifica sulla Piattaforma Airbnb e, in base alle tue impostazioni di notifica, servizio di messaggistica (tra cui SMS e WeChat). La data di ricezione sarà considerata quella in cui Airbnb Payments trasmette la comunicazione.

16.5 Lingua. Il presente accordo è stipulato nella lingua applicata dai Termini, e tutte le comunicazioni effettuate durante questo rapporto contrattuale dovranno avvenire in tale lingua.

17. Clausole supplementari per gli utenti la cui controparte contrattuale è Airbnb Payments UK

La presente Sezione 17 si applica se la tua controparte contrattuale è Airbnb Payments UK. In caso di conflitto tra questa sezione e qualsiasi altra disposizione dei presenti Termini di Pagamento, si applicano le disposizioni della presente Sezione 17.

17.1 Utenti di servizi di pagamento

17.1.1 I Servizi di pagamento includono i servizi di riscossione pagamenti forniti agli Host aventi quale controparte contrattuale Airbnb Payments UK. Il servizio di riscossione pagamenti costituisce un "payment service" (servizio di pagamento) secondo la definizione del Payment Services Regulation britannico del 2017, e per tali fini Airbnb Payments UK tratta gli Host quali "payment service users" (utenti di servizi di pagamento).

17.1.2 Accettando i presenti Termini di Pagamento tu, in qualità di Host, hai acconsentito al pagamento da parte di Airbnb Payments UK di ogni Compenso sulla Preferenza di pagamento da te selezionata. Gli Host possono modificare una Preferenza di pagamento fino a un (1) giorno prima della data stabilita per il pagamento, come indicato nella Sezione 3.3. Airbnb Payments UK riterrà di aver ricevuto l'ordine di pagamento dell'Host nello stesso giorno in cui Airbnb Payments UK accetta di dare inizio all'erogazione del Compenso previsto dalla Sezione 3.3

17.1.3 Airbnb Payments UK farà del proprio meglio per assicurare che gli Host residenti nel Regno Unito ricevano ciascun Compenso entro la fine del giorno lavorativo successivo all'inizio dell'erogazione del Compenso da parte di Airbnb Payments UK.

17.1.4 Comunicazioni. Airbnb Payments manderà avviso all'Host via email all'avvio del processo di erogazione di ogni Compenso. Manderà inoltre avviso all'indirizzo email registrato dell'Host se il Compenso viene rifiutato a causa di un errore. È tua responsabilità, in qualità di Host, fornirci un indirizzo email aggiornato, accurato e valido.

17.2 Compensi dirottati e reclami

17.2.1 Se tu, in qualità di Host, ritieni o vieni a conoscenza del fatto che un Compenso a te regolarmente dovuto è stato o potrebbe essere dirottato senza la tua autorizzazione ("Compenso dirottato") a causa dello smarrimento, del furto o dell'appropriazione indebita della tua password o di altre credenziali di accesso al tuo account Airbnb ("Credenziali"), dovrai avvisare Airbnb Payments UK (consulta la Sezione 20 per i dettagli di questa procedura) senza indebito ritardo.

17.2.2 Se tu, in qualità di Host, ci comunichi di non aver ricevuto correttamente un Compenso sulla Preferenza di pagamento da te scelta (incluso il caso in cui ci sia stato un Compenso dirottato), Airbnb Payments UK si adopererà immediatamente per rintracciare il pagamento (se da te richiesto senza indebito ritardo, non appena verrà a conoscenza del Compenso non autorizzato o eseguito in modo errato e in ogni caso entro 13 mesi dall'accaduto) e ti informerà del risultato di tale indagine. Fatto salvo quanto indicato nella Sezione 17.2.3, a meno che non siamo in grado di provare che (i) il Compenso sia stato da te ricevuto sulla Preferenza di pagamento da te scelta o (ii) abbiamo accreditato il Compenso correttamente utilizzando le informazioni sulla Preferenza di pagamento da te fornite, ma queste ultime non erano corrette, procederemo a rimborsare l'importo. Laddove tu ci abbia fornito informazioni inesatte, non saremo responsabili per l'accreditamento errato o non andato a buon fine del Compenso. Tuttavia, faremo ogni ragionevole sforzo per recuperare i relativi fondi.

17.2.3 Devi utilizzare le tue Credenziali in conformità ai presenti Termini di Pagamento e adottare tutte le misure ragionevoli per mantenere le suddette al sicuro. In qualità di Host, potremmo ritenerti responsabile delle perdite occorse in conseguenza di un Compenso dirottato che dipenda dall'appropriazione da parte di terzi, dalla perdita o dal furto delle tue Credenziali (ivi inclusa la perdita di un telefono cellulare su cui hai installato l'Applicazione) o nel caso in cui tu non abbia correttamente tenuto le tue Credenziali al sicuro, fino a un massimo di 35 GBP. Ciò non si applicherà nel caso in cui la perdita, il furto o l'appropriazione da parte tua delle tue Credenziali non sia stato da te rilevabile prima del Compenso, a meno che tu non abbia agito in modo fraudolento, o che la perdita non sia stata causata da atti oppure omissioni del personale di Airbnb o di un fornitore di servizi. Tuttavia, potremmo ritenerti responsabile per tutte le perdite relative a un Compenso dirottato se siamo in grado di dimostrare che hai agito in modo fraudolento o se, con dolo o colpa grave, non hai utilizzato la Piattaforma Airbnb e/o i Servizi di pagamento in conformità ai Termini o ai presenti Termini di Pagamento (incluso l'obbligo di proteggere le tue Credenziali). Tranne nel caso in cui tu abbia agito in modo fraudolento, non sarai responsabile per eventuali perdite subite in relazione a un Compenso dirottato derivanti dalla notifica da parte tua della perdita, del furto o dell'appropriazione indebita delle tue Credenziali o dell'uso non autorizzato delle stesse, laddove non siamo riusciti in qualsiasi momento a fornire mezzi appropriati per tale notifica o nel caso in cui non imponessimo un'autenticazione complessa da parte del cliente, ove richiesto.

17.2.4 Qualsiasi reclamo per quanto riguarda i Servizi di pagamento dovrà essere rivolto a Airbnb Payments UK (consulta la Sezione 20 per i dettagli sulla relativa procedura). Se non ti soddisfa l'esito di un reclamo e tu, in qualità di Host, hai usufruito di Servizi di pagamento regolamentati da Airbnb Payments UK, potresti anche presentare il tuo reclamo al Financial Ombudsman. Tutti i reclami inoltrati al Financial Ombudsman Service sono soggetti alle regole di questo ente, anche in relazione ai requisiti di ammissibilità. Il Financial Ombudsman Service del Regno Unito offre un servizio gratuito di risoluzione delle controversie. Puoi ottenere ulteriori informazioni sull'ente e i suoi recapiti all'indirizzo https://www.financial-ombudsman.org.uk.

18. Clausole supplementari per gli utenti la cui controparte contrattuale è Airbnb Payments Luxembourg

La presente Sezione 18 si applica se la tua controparte contrattuale è Airbnb Payments Luxembourg. In caso di conflitto tra questa sezione e qualsiasi altra disposizione dei presenti Termini di Pagamento, si applicano le disposizioni della presente Sezione 18.

18.1 Utenti dei Servizi di pagamento

18.1.1 I Servizi di pagamento includono quello fornito agli Host aventi come controparte contrattuale Airbnb Payments Luxembourg. Tali servizi costituiscono "payment services" (servizi di pagamento) disciplinati dalla Legge modificata del 10 novembre 2009 sui servizi di pagamento ("Legge del 2009"), e per tali fini Airbnb Payments Luxembourg tratta gli Host quali "payment service user" (utenti dei servizi di pagamento) in base alla Legge del 2009.

18.1.2 Accettando i presenti Termini di Pagamento, tu, in qualità di Host, hai acconsentito al pagamento da parte di Airbnb Payments Luxembourg di ogni Compenso sulla Preferenza di pagamento che hai scelto. Gli Host possono modificare una Preferenza di pagamento fino a un (1) giorno prima della data stabilita per il pagamento, come indicato nella Sezione 3.3. Airbnb Payments Luxembourg riterrà di aver ricevuto l'ordine di pagamento dell'Host nello stesso giorno in cui Airbnb Payments Luxembourg accetta di dare inizio all'erogazione del Compenso, come previsto dalla Sezione 3.3.

18.1.3 Nella relazione tra l'utente e Airbnb Payments Luxembourg, le disposizioni legali relative alla forma e alla procedura per dare il consenso all'avvio di un ordine di pagamento o all'esecuzione di una transazione di pagamento e la revoca di tale consenso, come ad esempio gli articoli 81 e 93 della Legge del 2009, si applicheranno in qualsiasi momento.

18.1.4 Airbnb Payments Luxembourg farà del proprio meglio per assicurare che gli Host residenti nello SEE ricevano ciascun Compenso entro la fine del giorno lavorativo successivo all'inizio dell'erogazione del Compenso da parte di Airbnb Payments Luxembourg.

18.1.5 Comunicazioni. Airbnb Payments manderà avviso all'Host via email all'avvio del processo di erogazione di ogni Compenso. Manderà inoltre avviso all'indirizzo email registrato dell'Host se il Compenso viene rifiutato a causa di un errore. È tua responsabilità, in qualità di Host, fornirci un indirizzo email aggiornato, accurato e valido.

18.1.6 In deroga alle disposizioni dell'Articolo 1341 del Codice Civile, Airbnb Payments avrà il diritto, ogniqualvolta sia utile o necessario, di supportare le proprie accuse con qualsiasi mezzo legalmente ammissibile in materia commerciale, come dichiarazioni testimoniali, dichiarazioni giurate, registri elettronici e qualsiasi altro documento idoneo.

18.2 Procedure di risoluzione per Compensi dirottati

18.2.1 Se tu, in qualità di Host, ritieni o vieni a conoscenza del fatto che un Compenso a te regolarmente dovuto è stato o potrebbe essere dirottato senza la tua autorizzazione ("Compenso dirottato") a causa del furto o smarrimento della tua password o di altre credenziali di accesso al tuo account Airbnb ("Credenziali") o in caso di transazione di pagamento non autorizzata, avviata o eseguita in modo errato, dovrai darne immediatamente avviso a Airbnb Payments Luxembourg in conformità alla Sezione 20. Devi informare Airbnb Payments non appena vieni a conoscenza del Compenso non autorizzato o eseguito in modo errato, e comunque non oltre 13 mesi dopo la data dell'addebito. In caso di transazione di pagamento non autorizzata, Airbnb Payments ti rimborserà l'importo della stessa entro la fine del giorno lavorativo successivo alla notifica della transazione o in conformità alla Sezione 20. Laddove avesse ragionevolmente motivo di sospettare un caso di frode, Airbnb Payments si riserva il diritto di non rispettare tale obbligo. Le perdite relative a un Compenso non autorizzato fino a 50 EUR, laddove lo stesso derivi dalla perdita o dal furto delle tue Credenziali o dall'appropriazione indebita di queste ultime, saranno interamente a tuo carico. Non saranno invece a tuo carico laddove: (a) la perdita, il furto o l'appropriazione indebita delle tue Credenziali non fossero rilevabili prima del pagamento di un Compenso, tranne che in presenza di azioni fraudolente da parte tua; o (b) la perdita sia stata causata da azioni od omissioni da parte di Airbnb Payments. Tutte le perdite subite in relazione a un Compenso erogato da Airbnb Payments che non hai autorizzato saranno a tuo carico in presenza di azioni fraudolente da parte tua o laddove non abbia informato Airbnb Payments nei tempi previsti, in conformità con la presente Sezione e la Sezione 20. Non dovrai sostenere alcuna conseguenza finanziaria derivante dalla perdita, dal furto o dall'appropriazione indebita delle tue Credenziali dopo la notifica a noi, in conformità con la presente Sezione e la Sezione 20.

18.2.2 Decliniamo ogni responsabilità in caso di perdite riconducibili a quanto segue: (i) compensi dirottati correlati ad azioni fraudolente da parte tua o al mancato utilizzo, con dolo o colpa grave, della Piattaforma Airbnb e/o dei Servizi di pagamento in conformità ai Termini o ai presenti Termini di Pagamento (incluso l'obbligo di custodire in modo sicuro le tue Credenziali); (ii) laddove Airbnb Payments sia in grado di provare che il Compenso è stato ricevuto in tempo e per intero da te o dal tuo fornitore di servizi di pagamento; (iii) compensi da noi agevolati sulla base delle informazioni da te fornite, laddove queste ultime risultino errate. In queste circostanze, puoi richiedere a Airbnb Payments di adoperarsi, utilizzando i mezzi appropriati a sua disposizione, per recuperare l'importo del pagamento. Se non è possibile recuperare tale importo, Airbnb Payments, su richiesta scritta, ti fornirà tutte le informazioni rilevanti di cui è in possesso allo scopo di consentirti di intraprendere azioni legali per far valere la tua richiesta di rimborso dell'importo. Per dare seguito a questa procedura, Airbnb Payments potrebbe addebitarti una commissione.

18.2.3 Se tu, in qualità di Host, ci comunichi di non aver ricevuto correttamente un Compenso sulla Preferenza di pagamento da te scelta, Airbnb Payments Luxembourg si adopererà immediatamente (previa richiesta) per rintracciare il pagamento e ti informerà del risultato di tale ricerca.

18.3 Reclami stragiudiziali

Qualsiasi reclamo, che sia relativo alla perdita, al furto, all'appropriazione indebita o all'uso non autorizzato in relazione ai Servizi di pagamento, oppure a transazioni non autorizzate o errate, deve essere presentato per iscritto a Airbnb Payments Luxembourg, in conformità con la Sezione 20. Se l'esito di un reclamo non ti soddisfa e tu, in qualità di Host, hai usufruito di Servizi di pagamento regolamentati da Airbnb Payments Luxembourg, puoi presentare una richiesta all'autorità di vigilanza di Airbnb Payments Luxembourg, la CSSF (come definita nella Sezione 20) entro un anno dalla presentazione del reclamo a Airbnb Payments Luxembourg. La CSSF fungerà da organo di risoluzione extragiudiziale dei reclami. La richiesta deve essere depositata presso la CSSF per iscritto, per posta tradizionale o tramite e-mail all'indirizzo pertinente, disponibile sul sito web della CSSF, oppure online sullo stesso sito. La richiesta deve essere presentata in inglese, francese, tedesco o lussemburghese. Inoltre, deve essere supportata da un'esposizione dei motivi su cui si basa, unitamente a quanto segue:

  • Un'esposizione dettagliata e cronologica dei fatti alla base del reclamo e delle misure da te già prese.
  • Una copia del precedente reclamo presentato a Airbnb Payments Luxembourg.
  • Una copia della risposta al reclamo precedente o un documento che attesti la mancata ricezione di una risposta un mese dopo l'invio del suddetto reclamo.
  • Una dichiarazione in cui affermi di non aver deferito la questione a un tribunale, a un arbitro o a un altro organo di risoluzione stragiudiziale dei reclami in Lussemburgo o all'estero.
  • L'accordo con le condizioni di gestione della richiesta della CSSF in quanto organo responsabile della risoluzione stragiudiziale del reclamo.
  • La tua espressa autorizzazione affinché la CSSF possa trasmettere la tua richiesta (comprensiva degli allegati) nonché qualsiasi corrispondenza o informazione futura a Airbnb Payments Luxembourg.
  • Nel caso in cui una persona agisca per tuo conto, un documento attestante che la suddetta sia legalmente autorizzata ad agire in tal senso.
  • Una copia del tuo documento d'identità in corso di validità.

18.4. Per gli Ospiti il cui paese di residenza è la Francia.

Salvo eventuali disposizioni contrarie nei Termini di Pagamento, a scanso di equivoci, in relazione agli Ospiti che risiedono in Francia, il Prezzo totale, le rate o i pagamenti periodici, inclusi i Pagamenti ricorrenti, che Airbnb Payments riscuote da tale Ospite sono considerati acconti ("acomptes") ai sensi della legge francese.

18.5 Esternalizzazione.

Airbnb si avvale del contributo di diversi fornitori di servizi (alcuni appartenenti al gruppo Airbnb e altri di terze parti) nell'ambito di accordi di esternalizzazione, al fine di offrire i propri servizi con efficienza e qualità. Il ricorso a tali fornitori di servizi richiede, da parte di Airbnb, la divulgazione di alcuni dati. Acconsenti a tali accordi di esternalizzazione e ci conferisci mandato a trasferire o rendere accessibili i tuoi dati (come ulteriormente definiti di seguito) personali ed eventualmente quelli relativi a persone a te collegate (forniti in relazione al tuo account Airbnb), quali ad esempio titolari effettivi e rappresentanti, a una serie di fornitori di servizi nell'ambito di accordi di esternalizzazione relativamente ad aspetti tecnici (ivi compresi quelli informatici) e operativi, elaborazione dei pagamenti, controllo interno, adeguata verifica della clientela (ivi compresi i controlli dei precedenti penali), prevenzione delle frodi, valutazione del rischio, sviluppo del prodotto, manutenzione e debug, pubblicità, elaborazione delle richieste di indennizzo assicurative, assistenza clienti e altri servizi. Se sei una persona fisica, i dati da trasferire o rendere disponibili includono: cognome, nome, indirizzo, data e luogo di nascita e nazionalità; se invece sei una persona giuridica: ragione sociale, sede legale, forma giuridica, numero di iscrizione, nonché i suddetti dati specifici per le persone fisiche in caso di titolari effettivi e rappresentanti. Le informazioni da trasferire o rendere disponibili comprendono, inoltre, per qualsiasi persona, i recapiti, come numero di telefono e indirizzo email, nonché dati finanziari e di utilizzo in relazione ai nostri servizi (ivi inclusi, metodo di pagamento, preferenza di pagamento e operazione di pagamento). I destinatari di tali dati hanno sede negli Stati Uniti, nel Regno Unito, in Irlanda, in India, in Lussemburgo, nei Paesi Bassi, in Germania e in Spagna, nonché in altri paesi in Europa, nell'area Asia-Pacifico e in America del Nord e del Sud. I suddetti trasferimenti di dati avverranno per l'intera durata del rapporto commerciale tra te e noi, nonché per un ulteriore periodo al termine del rapporto commerciale, nella misura consentita dalla legge. Riconosci che i dati trasferiti non rientrano più sotto la tutela del segreto professionale lussemburghese successivamente al loro trasferimento.

19. Clausole supplementari per utenti che agiscono nella loro attività d'impresa

I seguenti paragrafi si applicano anche a chi utilizza i Servizi di pagamento come rappresentante ("Rappresentante") per conto di un'impresa, società o altra persona giuridica (in tal caso, ai fini dei Termini di Pagamento, "tu" e "tuo" si riferiranno e si applicheranno a tale impresa, società o altra persona giuridica).

19.1 Accetti i Termini di Pagamento e sarai responsabile per qualsiasi atto od omissione dei dipendenti o degli agenti esterni del tuo Rappresentante che utilizzano il Servizio di pagamento per tuo conto.

19.2 Tu e il tuo Rappresentante dichiarate individualmente di essere autorizzati a fornire le informazioni descritte nelle precedenti Sezioni 2.1 e 3.2 e che il tuo Rappresentante ha la facoltà di vincolarti ai presenti Termini di Pagamento. Potremmo chiederti di fornire ulteriori informazioni o documenti che dimostrino i poteri conferiti al tuo Rappresentante.

19.4 Se utilizzi il Metodo di pagamento a beneficio dei tuoi dipendenti o di altri terzi autorizzati in relazione a Airbnb for Work, come consentito dal tuo account, autorizzi Airbnb Payments ad addebitare sul tuo Metodo di pagamento le prenotazioni richieste dai dipendenti della tua società o da altri terzi autorizzati.

19.5 Per qualsiasi Preferenza di pagamento collegata al tuo account Airbnb, autorizzi Airbnb Payments a memorizzare la Preferenza di pagamento, versare i pagamenti utilizzando la stessa per le prenotazioni associate al tuo Account Airbnb e intraprendere qualsiasi altra azione consentita nei Termini di Pagamento in relazione alla suddetta preferenza.

Payments Terms of Service for Non-European Users

If you reside in, or the organization you are acting for is established in, the United States, the arbitration agreement and class actions waiver in Section 15 apply to you. Please read them carefully.

These Payments Terms of Service for Non-European Users (“Payments Terms”) are a binding legal agreement between you and Airbnb Payments that govern the Payment Services (defined below) conducted through or in connection with the Airbnb Platform. When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to the Airbnb Payments company you are contracting with for Payment Services.

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services may include (if available) the following (collectively, “Payment Services”):

  • Collecting payments from Guests (“Payin”), by charging the payment method associated with their Airbnb account, such as credit card, debit card, bank account or PayPal account (“Payment Method”);
  • Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
  • Effecting payments to a third-party Payout Method designated by a Host;
  • Collection and payment of charitable donations;
  • Payment collection services; and
  • Other payment related services in connection with Host Services.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Airbnb Terms of Service (“Terms”), and must keep your payment and personal information accurate and complete.

Payment Services will be provided by the contracting entity based on your country of residence subject to any exceptions described below:

  • if you accept a booking from a Guest who is a resident of India, regardless of your country of residence, you are contracting with Airbnb Payments India; and
  • if you accept a booking from a Guest who is not a resident of India, regardless of your country of residence, you are contracting with Airbnb Payments UK.

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payment Terms will be determined by your new country of residence from the date on which your country of residence changes. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

The Terms separately govern your use of the Airbnb Platform. If you see an undefined term in these Payment Terms, it has the same definition as in the Terms.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services. Airbnb Payments may improve, enhance and modify the Payment Services and introduce new Payment Services from time to time. Airbnb Payments will provide notice to Members of any changes to the Payment Services, unless such changes do not materially increase the Members’ contractual obligations or decrease the Members’ rights under these Payments Terms.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to, or require you to accept, additional terms and conditions. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the latter terms and conditions will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment service providers to collect and store your Payment Method information.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You can remove the Payment Method from your Airbnb account as long as it is not associated with an active or future reservation.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one payment method), either directly or indirectly, for all fees due (including any applicable taxes) in connection with your Airbnb account.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb Payments may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency. Airbnb Payments will process each transaction in the currency you select via the Airbnb Platform. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence, and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method. Note that if your Airbnb Payments contracting entity’s location is different than the country of your Payment Method, or your selected currency is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. For example, if you make a booking using a U.S. issued card, but select Euro as your currency, your payment may be processed outside the U.S., and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if you select to pay with a currency that is different than your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.

2.7 Booking Request Status. If a requested booking is declined either because it is not accepted by the Host or you cancel the booking request before it is accepted by the Host, any amounts collected by Airbnb Payments will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable). The timing to receive the refund or for the pre-authorization to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, MasterCard, etc.) rules.

2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks unacceptable to Airbnb Payments.

2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you.

2.11 Different Ways to Pay

2.11.1 Payment Plan

2.11.1.1 Airbnb Payments may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Payment Plan”). Availability of this option may depend on the Listing and/or Payment Method.

2.11.1.2 If you choose a Payment Plan, the Airbnb Platform will notify you during check out of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

2.11.1.3 If you make a modification to a booking made with a Payment Plan, Airbnb Payments will notify you of the revised payment schedule, as applicable. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

2.11.1.4 You agree that by selecting a Payment Plan, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy. You acknowledge that you may incur fees for cancellations pursuant to the Host’s cancellation policy.

2.11.2 Recurring Payments

2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. 3. Host Terms

3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

3.2 Valid Payout Method. In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information such as name, government identification, tax ID, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated. You authorize Airbnb Payments to collect and store your Payout Method information. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

3.3 Timing of Payout

3.3.1 Subject to and conditional upon successful receipt of the payments from Guest, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment, which may be subject to additional terms and conditions. For example, certain Hosts in China will receive Payouts 48 hours after the Guest’s scheduled check-out time or 7 days after the Guest’s scheduled check-in time, whichever is earlier. Such Payout timeline may be updated once the Host meets certain eligibility criteria. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

3.4 Payout. Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes. In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume Booking cancellations or modifications arising from a Force Majeure Event (as defined below).

3.6 Currency Conversion. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use. Please review them before using your Payout Method.

3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

3.10 Your Payout Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

3.11 Different ways to get paid

3.11.1 Split Payouts

If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team and is not responsible for any losses related to errors or omissions made by the Hosts in providing such payment instructions.

4. Appointment of Airbnb Payments as Limited Payment Collection Agent

4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guest. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host.

4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

5. General Terms

5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform.

5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payment Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

  • Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
  • Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
  • Taxes, where applicable and as set out in the Terms.
  • Any amount you pay through the Resolution Center in connection with your Airbnb account.
  • Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
  • Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
  • Any amounts already paid to you as a Host despite a Guest cancelling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Guest Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

In addition to any amount due as outlined above, if there are delinquent amounts or chargebacks associated with your Payment Method, you may be charged fees that are incidental to Airbnb Payments collection of these delinquent amounts and chargebacks. Such fees or charges may include collection fees, convenience fees or other third-party charges.

5.3 Collections

5.3.1 If Airbnb Payments is unable to collect any amounts you owe under these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

5.4 Payment Processing Errors

5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error), by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

5.4.2 To the extent you receive any funds in error, you agree to immediately return such funds to Airbnb Payments.

5.5 Refunds

5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Guest Refund Policy, and Experiences Guest Refund Policy will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

5.5.2 Subject to this Section 5.5.2, Airbnb Payments will process refunds immediately, however, the timing to receive any refund will depend on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

6. Damage Claims and Security Deposits

6.1 If you as a Guest (i) agree to pay the Host in connection with a Damage Claim, or (ii) Airbnb determines that you are responsible for damaging any real or personal property at a Listing pursuant to the Terms, you authorize Airbnb Payments to charge the Payment Method used to make the booking in order to collect any security deposit associated with the Listing, as well as any fees, costs and/or expenses associated with the Damage Claim. If Airbnb Payments is unable to collect from the Payment Method used to make the booking, you agree that Airbnb Payments may charge any other Payment Method on file in your Airbnb account at the time of the Damage Claim (unless you have previously removed the authorization to charge such Payment Method(s)).

6.2 You agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, in relation to any payment requests made by Hosts under the Airbnb Host Guarantee.

7. Abandoned Property

If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

8. Prohibited Activities

8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

  • breach or circumvent any applicable laws or regulations;
  • breach or circumvent any agreements with third parties, third-party rights, or the Terms, Policies, or Standards;
  • use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
  • register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
  • avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ providers or any other third party to protect the Payment Services;
  • take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
  • attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
  • violate or infringe anyone else’s rights or otherwise cause harm to anyone.

8.2 You may not use or assist others to use the Payment Services to send or receive funds: (i) into any United States embargoed countries; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List. You represent and warrant that: (i) neither you nor your Host Services are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.

9. Force Majeure

Airbnb Payments shall not be liable for any delay or failure to fulfill any obligation under these Payments Terms resulting from causes outside the reasonable control of Airbnb or Airbnb Payments, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”).

10. Disclaimers

10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. To the maximum extent permitted by law, the Payment Services are provided “as is”, without warranty of any kind, either express or implied.

10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4, Airbnb Payments explicitly disclaims all liability for any act or omission of any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

10.3 If we choose to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future.

10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

11. Liability

11.1 Except as provided in Section 11.2, you acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. Neither Airbnb Payments nor any other party involved in creating, producing, or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Hosts pursuant to these Payments Terms or an approved payment request under the Airbnb Host Guarantee or Japan Host Insurance, in no event will Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (i) the amounts you have paid or owe for bookings via the Airbnb Platform as a Guest in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by Airbnb Payments to you in the twelve (12) month period prior to the event giving rise to the liability, or (ii) one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you reside outside of the U.S., this does not affect Airbnb Payments’ liability for death or personal injury arising from its negligence, nor for fraudulent misrepresentation, misrepresentation as to a fundamental matter, or any other liability which cannot be excluded or limited under applicable law.

11.2 If you reside in Australia and contract with Airbnb Payments Australia, Section 11.1 does not apply, and Airbnb Payments is liable under statutory provisions for intent and gross negligence by us, our legal representatives, directors, or other vicarious agents. The same applies to the assumption of guarantees or any other strict liability, or in case of a culpable injury to life, limb, or health. Airbnb Payments is liable for any negligent breaches of essential contractual obligations by us, our legal representatives, directors, or other vicarious agents; such liability is limited to the typically occurring foreseeable damages. Essential contractual obligations are such duties of Airbnb Payments in whose proper fulfillment you regularly trust and must trust for the proper execution of the contract. Any additional liability of Airbnb Payments is excluded to the maximum extent allowed by applicable law.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb Payments and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Payments Terms; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit taxes; or (iv) your breach of any laws, regulations, or third-party rights.

13. Modification, Term, Termination, and other Measures

13.1 Modification. Except as otherwise required by applicable law, Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payment Terms, we will post the revised Payment Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payment Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least thirty (30) days before the date they become effective. If you are contracting with Airbnb Payments UK, or Airbnb Payments Australia, you will receive at least two (2) months advance notice. If you do not terminate your agreement before the date the revised Payment Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

13.2 Term. This agreement between you and Airbnb Payments reflected by these Payment Terms is effective when you create an Airbnb account or use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties.

13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method

13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 and 13.4 you may appeal such a decision by contacting customer service.

13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

13.7 Survival. Sections 5 through 20 of these Payments Terms shall survive any termination or expiration of this agreement.

14. Governing Law and Dispute Resolution

14.1 If you are contracting with Airbnb Payments US, these Payments Terms will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law provisions. Legal proceedings (other than small claims actions) that are excluded from the Arbitration Agreement in Section 15 must be brought in state or federal court in San Francisco, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in San Francisco, California.

14.2 If you are contracting with Airbnb China, these Payments Terms will be governed by and construed in accordance with the laws of the People’s Republic of China (“China Laws”). In this situation, any dispute arising from or in connection with these Payments Terms or use of the Payment Services shall be submitted to the China International Economic and Trade Arbitration Commission (“CIETAC”) for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. The tribunal shall consist of three (3) arbitrators. The seat of the arbitration shall be Beijing. The language of the arbitration shall be English. This section does not limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under China Laws or any other laws that may apply to you.

14.3 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may bring any judicial proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

14.4 If you are contracting with Airbnb Payments India, these Payments Terms will be interpreted in accordance with the laws of India. Any dispute arising from or in connection with these Payments Terms must be submitted to the International Chamber of Commerce (“ICC”) for arbitration in New Delhi, which shall be the seat and venue of arbitration. Such arbitration shall be conducted in accordance with the arbitration rules of the ICC in effect at the time of applying for arbitration, provided that this section shall not be construed to limit any rights which Airbnb Payments may have to apply to any court of competent jurisdiction for an order requiring you to perform or be prohibited from performing certain acts and other provisional relief permitted under the laws of India or any other laws that may apply to you. In the event one or more of the parties to the dispute are non-resident, the parties agree to exclude (for the avoidance of any doubt) the applicability of the provisions of Part I (save and except Section 9, Section 27, Section 37(1)(a) and Section 37(3) thereof) of the Indian Arbitration and Conciliation Act 1996 to any arbitration under this section. The arbitration proceedings shall be conducted in English. The arbitral award rendered is final and binding upon both parties. Each party shall bear its own costs in relation to the arbitration.

14.5 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

14.6 If you are contracting with Airbnb Payments Brazil, these Payments Terms will be interpreted in accordance with the laws of Brazil. If you are acting as a consumer, judicial proceedings that you are able to bring against us arising from or in connection with these Payments Terms may only be brought in a court located in the city of Sao Paulo, State of Sao Paulo, Brazil or in a court with jurisdiction in your place of residence. If you are acting as a business, you agree to submit to the exclusive jurisdiction of a court located in the city of Sao Paulo, State of Sao Paulo, Brazil.

15. United States Arbitration Agreement

15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payment Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in paragraph 15.3, below), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airbnb Payments each retain the right to seek relief in small claims court as an alternative to arbitration

15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its notice of dispute to the email address associated with your Airbnb account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue.

15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section 15): (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (ii) a request for the remedy of public injunctive relief. You and Airbnb Payments agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

15.6 Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by AAA in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

15.7 Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airbnb Payments agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S county where you reside; (b) in San Francisco County; (c) via phone or video conference; or (d) if all parties agree, by solely the submission of documents to the arbitrator.

15.8 Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, Airbnb Payments will pay all arbitration fees and expenses. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

15.9 Arbitrator’s Decision. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

15.10 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

15.11 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

15.12 Severability. Except as provided in Section 15.11, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

15.13 Changes to Agreement to Arbitrate. If Airbnb Payments changes this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject that change by sending us written notice (including by email) within thirty (30) days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

15.14 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

16. Miscellaneous

16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

16.2 No Waiver. Airbnb Payments’ failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Payments Terms, the exercise by either party of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent. Airbnb Payments may without restriction assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK).

16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

17. Additional Clauses for Users Contracting with Airbnb Payments UK

The following paragraphs will apply if you are contracting with Airbnb Payments UK:

17.1 Payment Service User

17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3

17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

17.2 Resolution Procedures for Diverted Payouts

17.2.1 If you as a Host believe that a Payout properly due to you has been or may be diverted without your permission (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) are lost or stolen, you should notify Airbnb Payments UK pursuant to Section 20 immediately. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £50. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

17.2.2 We will not be liable for any loss arising from: (i) Diverted Payouts where you acted fraudulently or where, with intent or gross negligence, you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payments Terms (including the obligation to keep your Credentials safe); (ii) or any payout transaction which we facilitated in accordance with information provided by you where the information you provided was incorrect.

17.2.3 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method, Airbnb Payments UK will (if requested) make immediate efforts to trace the payment and will notify you of the outcome. Unless we can prove that the payment was received by you via your chosen Payout Method, we will refund the amount.

17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK pursuant to Section 20. Complaints that are made in accordance with this section that relate to the provision of Payment Services by Airbnb Payments UK will be eligible for referral to the Financial Ombudsman and will be subject to the Rules of the Financial Ombudsman Service. The UK Financial Ombudsman Service offers a free complaints resolution service to individuals, micro-enterprises, small charities, and trustees of small trusts. You can contact the UK Financial Ombudsman by (i) telephone from inside the UK: 0300 123 9123 or 0800 023 4567; from other countries: +44 20 7964 0500, on Monday to Friday, 8am to 8pm and on Saturday 9am to 1pm; (ii) post: South Quay Plaza, 183 Marsh Wall, London E14 9SR; or (iii) email: enquiries@financial-ombudsman.org.uk. The UK Financial Ombudsman Service is also available in a number of different languages and if you need it you will be put in touch with a translator when you contact the UK Financial Ombudsman Service.

17.3 For Hosts and Guests with Mexico As Country of Residence

If Mexico is your country of residence, (i) upon successful receipt of payment from the Guest following a Host's acceptance of the Guest’s booking request, Airbnb Payments generally holds such funds due to the Host in temporary custody until it is released to the Host in accordance with Section 3.3.1, and (ii) the payment to the Host will be effective only upon the start of the Host's Services and in accordance with Section 3.3.1. Airbnb may be required to withhold taxes per applicable local laws, and such taxes will be due upon Airbnb Payment’s release of the Host Payout.

18. Additional Clauses for Users Contracting with Airbnb Payments Brazil

The following paragraph will apply if you are contracting with Airbnb Payments Brazil:

18.1 Installment Feature for Users with Brazil As Country of Residence

Section 2, “Guest Terms”, shall be amended by adding the following subsection: “You acknowledge that if your country of residence is Brazil and you are paying by credit card, you may pay for your booking in multiple installments as long as your credit card supports installments and is issued in Brazil. The number of installments may vary, but will be presented to you before you complete your booking transaction. You acknowledge that the Total Price may be increased when you choose to pay for your booking in installments. Your use of the installment feature may be subject to additional terms and conditions imposed by the applicable third-party payment service provider.”

18.2 Depending on the country of residence of guests and hosts, payments due to hosts and applicable fees like Airbnb Service Fees may require the execution of foreign exchange agreements or other related measures, as per applicable legislation.

18.3 If you are a resident in Brazil, by using the Payment Services you acknowledge and agree that Airbnb Payments Brazil acts as an agent of the Airbnb entity providing Airbnb Services to you and that you are contracting international services provided by such entity, as set forth in the Terms.

18.4 You authorize Airbnb Payments Brazil, directly or through third parties, to make any inquiries we consider necessary to verify your identity. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), tax ID, your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments Brazil reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

18.5 When processing payments from a Member, Airbnb Payments Brazil (and/or third parties contracted by it) may retain and/or report to the competent authorities (when applicable) information relating to the Member and/or the respective transaction to comply with applicable legislation and certain regulatory controls, and prevention of money laundering activities.

19. Additional Clauses for Users that are Businesses

The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

19.1 You accept the Payment Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

19.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

19.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

19.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

19.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

19.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information. Payments Terms of Service for Australian Users

If your country of residence or establishment is within Australia, these Payments Terms for Australian Users (“Payments Terms”) are subject to the Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law and other Australian laws. These Payments Terms (including clauses 10.1, 10.2, 11 and 12) apply to the maximum extent permitted by Australian law, including the Australian Consumer Law.

If you attempt to bring any legal claim against Airbnb Payments in the United States, the arbitration agreement and class actions waiver in Section 15 apply to you. Please read them carefully.

The Airbnb Terms of Service (“Terms”) govern your use of the Airbnb Platform. Capitalized terms not defined in these Payments Terms have the meaning ascribed to them in the Terms

These Payments Terms and the documents, policies and standards referred within them, form a binding legal agreement between you and Airbnb Payments that govern the Payment Services (defined below) conducted through or in connection with the Airbnb Platform.

Documents referred to within these Payments Terms include but are not limited to our:

  • Terms of Service, which govern your right to use the websites, applications, and other offerings from Airbnb (collectively, the “Airbnb Platform”).
  • Re-booking and Refund Policy, which explains how Airbnb will assist with rebooking a reservation and how Airbnb handles refunds when a Host cancels a reservation or another Travel Issue disrupts a stay.
  • Experiences Guest Refund Policy, which explains how refunds are handled for Experiences when a Host cancels or a Travel Issue occurs.
  • Extenuating Circumstances Policy, which explains how cancellations are handled when unforeseen events beyond your control arise after booking and make it impractical or illegal to complete your Reservation.
  • Host Damage Protection Policy, which explains the terms, exclusions and limitations under which Airbnb will agree to pay a Host to repair or replace Covered Property as a result of a Covered Loss.
  • Community Policies, which sets out expectations of Members of the Airbnb Community.
  • Content Policy, which governs the posting by Members of content on the Airbnb Platform.

For convenience, we have set out above several terms and policies that are referred to in these Payments Terms. However, it is important to note that there are other supplemental policies and terms linked from our Additional Legal Terms page, which apply to your use of the Airbnb Platform, and are incorporated by reference, and also form part of the binding legal agreement between you and Airbnb.

Our terms and policies are organized based on the topic(s) to which they relate so as to make it easy for you to find the terms or policy relevant to your query or event.

When these Payments Terms mention “Airbnb Payments,” “we,” “us,” or “our,” it refers to:

Airbnb Payments UK Ltd. (“Airbnb Payments UK”), except when you book a Host Service, in which case you are contracting with Airbnb Payments Australia Pty Ltd (“Airbnb Payments Australia”).

Airbnb Payments provides payments services to Members publishing, offering and booking Accommodations, Experiences or other Host Services, including services in connection with the Open Homes Program and other current and future services provided via the Airbnb Platform. These payment services are provided for the benefit of Hosts and may include (if available) the following (collectively, “Payment Services”):

  • Collecting payments from Guests (“Payin”), by charging the payment method provided by the Guest or associated with their Airbnb account, such as credit card, debit card, bank account, PayPal account, digital wallet or installments product provided by a credit provider (“Payment Method”);
  • Effecting payments to Hosts (“Payout”) to a financial instrument associated with their Airbnb account, such as a PayPal account, bank account, a prepaid card, or a debit card (“Payout Method”);
  • Effecting payments to a third-party Payout Method designated by a Host;
  • Collection and payment of charitable donations;
  • Payment collection services; and
  • Other payment related services in connection with Host Services.

Airbnb Payments provides regulated Payment Services only to Hosts as the Host’s limited payment collection agent by accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

In order to use the Payment Services, you must be at least 18 years old, must have an Airbnb account in good standing in accordance with the Terms, and must keep your payment and personal information accurate and complete and provide us with identity and other information as requested by us.

If you change your country of residence, the Airbnb company you contract with and the applicable version of the Payments Terms will be determined by your new country of residence from the date on which your country of residence changes. By continuing to use the Payment Services after your change of country of residence, you agree to such change of contracting party and terms. Please note, however, that the Airbnb Payments company with whom you contract will stay the same for all bookings made prior to your change of residence.

1. Your use of the Payment Services

1.1 Airbnb Payment Services. By using the Payments Services, you agree to comply with these Payments Terms. Airbnb Payments may temporarily limit or suspend your access to or use of the Payment Services, or its features, to carry out maintenance measures that ensure the proper functioning of the Payment Services.

1.2 Third Party Services. The Payment Services may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services are subject to different terms of service and privacy policies, and Members should review them. Airbnb Payments is not responsible or liable for the use of such Third-Party Services. Links to any Third-Party Services are not an endorsement by Airbnb Payments of those Third-Party Services.

1.3 Your Airbnb Account. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. You may authorize a third party to use your Airbnb account if the feature is enabled for your Airbnb account. You acknowledge and agree that anyone you authorize to use your Airbnb account may use the Payment Services on your behalf and that you will be responsible for any payments made by such person.

1.4 Identification and Verification. You authorize Airbnb Payments, directly or through third parties, to make any inquiries we consider necessary to verify your identity and information you provide, and if applicable, verifying the identity of the representative(s) and beneficial owner(s). This may include (i) screening you and, if applicable, your representative(s) and beneficial owner(s) against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you and, if applicable, your representative(s) and beneficial owner(s) to provide a form of government identification (e.g., driver’s license or passport) to check your name, place and date of birth, your address, nationality and/or other information which we deem necessary under applicable laws. If you are providing information for identification and verification about your representative(s) and/or beneficial owner(s) on their behalf, by providing such information, you are confirming that you have the authority and requisite rights to provide their information (including consent, where applicable) to Airbnb Payments for Airbnb Payments to carry out the purposes set out in this Section 1.4; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s) or Payout Method(s). Airbnb Payments reserves the right to terminate, suspend, or limit access to the Payment Services in the event we are unable to obtain or verify any of this information.

1.5 Additional Terms. Your access to or use of certain Payment Services may be subject to you first having to agree to or to accept (expressly or by conduct) additional terms and conditions, including those of third party providers of Payment Services. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the terms and conditions applicable to the specific Payment Service will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise in the terms and conditions applicable to the specific Payment Service.

2. Guest Terms

2.1 Adding a Payment Method. When you add a Payment Method to your Airbnb account, you will be asked to provide billing information such as name, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). You authorize Airbnb Payments and its payment processor(s) to collect and store your Payment Method information in accordance with Airbnb’s privacy policy.

2.2 Payment Method Verification. When you add or use a new Payment Method, Airbnb Payments may verify the Payment Method by (i) authorizing your Payment Method for one or two nominal amounts via a payment service provider, and asking you to confirm those amounts, or (ii) requiring you to upload a billing statement. We may, and retain the right to, initiate refunds of these amounts from your Payment Method. When you add a Payment Method during checkout, we will automatically save and add that Payment Method to your Airbnb account so it can be used for a future transaction. You may not remove the Payment Method associated with a reservation, during the period commencing from the date of your booking and ending fourteen (14) days following your check-out date, nor during any additional period of time needed to resolve any outstanding Damage Claim associated with such booking.

2.3 Payment Authorization. You allow Airbnb Payments to charge your Payment Method (including charging more than one Payment Method), either directly or indirectly, for all fees and other amounts due (including any applicable taxes) in connection with your Airbnb account, including Damage Claim amounts in accordance with the Terms and with Sections 5 and 6.

2.4 Automatic Update of Payment Method. If your Payment Method’s account information changes (e.g., account number, routing number, expiration date or CVV or CVC number) as a result of re-issuance or otherwise, we may acquire that information from our financial services partners or your bank and automatically update your Payment Method on file.

2.5 Timing of Payment. Airbnb Payments generally charges the Total Price due after the Host accepts your booking request. However, if you pay with a push Payment Method (such as Sofort), Airbnb Payments will collect the Total Price due at the time of your booking request or after the Host accepts your booking request. Airbnb may offer alternative options for the timing and manner of payment. Any additional fees for using those alternative payment options will be displayed via the Airbnb Platform and included in the Total Price, and you agree to pay such fees by selecting the payment option. Additional terms and conditions may apply for the use of an alternative payment option. If Airbnb Payments is unable to collect the Total Price due, as scheduled, Airbnb Payments will collect the Total Price due at a later point in accordance with Section 5.3. Once the payment for your requested booking is successfully completed, you will receive a confirmation email.

2.6 Currency.

    2.6.1 You are able to select your currency in your settings. The currencies available to make payments may be limited for regulatory or operational reasons based on factors such as your selected Payment Method, your country of residence and/or your Airbnb Payments contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payment Method if your preferred currency is not available.

    2.6.2. Note that if the country in which your Airbnb Payments contracting entity is located is different from the country of your Payment Method provider or the preferred currency in your settings is different than your Payment Method's billing currency, your payment may be processed outside of your country of residence. As a result, your Payment Method provider may impose certain fees and the amount listed on your Payment Method statement may be different from the amount shown at checkout. For example, if you make a booking using an Australian issued card, but the preferred currency in your settings is set to US dollars, your payment may be processed outside Australia, and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if the preferred currency in your settings is different from your Payment Method's billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Please contact your Payment Method provider if you have any questions about these fees or any exchange rate imposed by your Payment Method provider.

    2.7 Booking Request Status. If a requested booking is declined because it is not accepted by the Host, you cancel the booking request before it is accepted by the Host, or Airbnb cancels the booking, any amounts collected by Airbnb Payments and due to you pursuant to the policies described in Section 5.5 will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable) in accordance with Section 5.5.2.

    2.8 Payment Restrictions. Airbnb Payments reserves the right to decline or limit payments that we reasonably believe (i) may violate Airbnb Payments’ risk management policies or procedures, (ii) may violate these Payments Terms or the Terms, (iii) are unauthorized, fraudulent or illegal; or (iv) expose you, Airbnb, Airbnb Payments, or others to risks reasonably unacceptable to Airbnb Payments.

    2.9 Payment Service Providers. Payment Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing payments in connection with the Payment Services, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payment Method may also be subject to additional terms of use. Please review them before using your Payment Method.

    2.10 Your Payment Method, Your Responsibility. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payment Method information provided by you. Airbnb Payments does not provide any regulated Payment Services to you.

    2.11 Different Ways to Pay

    2.11.1 Pay Part Now, Part Later

    2.11.1.1 Airbnb may make available to Guests the option to pay a portion of the booking’s Total Price at the time of booking and pay the remainder of the Total Price at a later time prior to check-in (“Pay Part Now, Part Later”). Availability of this option may depend on the Listing and/or Payment Method.

    2.11.1.2 If you choose Pay Part Now, Part Later, the Airbnb Platform will notify you during checkout of the amount, currency and schedule of each payment due. On the following payments due date, Airbnb Payments will automatically charge the original Payment Method you used to make the booking.

    2.11.1.3 If you make a modification to a booking made with Pay Part Now, Part Later, Airbnb Payments will notify you of the revised payment schedule, as applicable, and Airbnb Payments will automatically charge the original Payment Method you used to make the booking on the revised payment due dates. If the modification increases your Total Price, you may be required to make an additional partial payment of the new Total Price at the time of the modification.

    2.11.1.4 You agree that by selecting Pay Part Now, Part Later, you may not be able to pay for the booking with a different Payment Method or pursuant to a different payment schedule.

    2.11.1.5 If Airbnb Payments is unable to collect your payment, Airbnb Payments will notify you of such declined payment, and require you to complete the payment using an alternative Payment Method within 72 hours of the notice. If you fail to complete the payment, you authorize Airbnb to cancel the booking on your behalf. If the booking is canceled, you will be refunded based on the Host’s cancellation policy.

    2.11.2 Recurring Payments

    2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (“Recurring Payments”). More information on Recurring Payments (including the amount and the frequency of payments) will be made available via the Airbnb Platform if applicable to a booking.

    2.11.2.2 If Recurring Payments apply to a confirmed booking, then the Guest authorizes Airbnb Payments to collect the Total Price due.

    2.11.2.3 Guests may stop a Recurring Payment by notifying Airbnb Payments orally or in writing at least three (3) business days before the scheduled date of the payment. Airbnb Payments may require you to give written confirmation of a stop-payment order within fourteen (14) days of an oral notification. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. If you have any questions regarding your Recurring Payments, please contact Airbnb Payments.

      2.12 Buy now, pay later. 

      Guests may from time to time be offered the possibility to pay for an Accommodation Reservation on credit or other installment options, and pay for them over time ('buy now, pay later'). These Payment Methods will be provided by Klarna Australia Pty Ltd (or its affiliate), not Airbnb, subject to additional terms of use provided at checkout, and Klarna will become your creditor for the payment. Depending on the Payment Method, this may also create a separate relationship between you as the borrower and Klarna as the lender. Please review any applicable additional terms before using these Payment Methods.

      3. Host Terms

      3.1 Payment Collection. Airbnb Payments generally collects the Total Price of a booking at the time the Guest’s booking request is accepted by the Host, unless noted otherwise.

      3.2 Valid Payout Method. 

      3.2.1 In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. When you add a Payout Method to your Airbnb account, you will be asked to provide information, which may include name, government identification, tax identification, billing address, and financial instrument information either to Airbnb Payments or its third-party payment processor(s). Depending on the Payout Method selected additional information may be required, such as: residential address, name on the account, account type, routing number, account number, email address, payout currency, identification number and account information associated with a particular payment processor. Providing requested information is required for a Payout Method to be valid. The information Airbnb Payments requires for a valid Payout Method may change, and Airbnb Payments may request additional information at any time; failing to provide requested information may result in Airbnb Payments temporarily placing a hold, suspending, or canceling any Payout until the information is provided and, if necessary, validated.

      3.2.2 You authorize Airbnb Payments to collect and store your Payout Method information in accordance with Airbnb’s Privacy Policy. Airbnb Payments may also share your information with governmental authorities as required by applicable law.

      3.3 Timing of Payout

      3.3.1 Subject to and conditional upon successful receipt of the associated payments from Guests, Airbnb Payments will generally initiate Payouts to your selected Payout Method: (i) for Accommodations, 24 hours after the Guest’s scheduled check-in time (or 24 hours after 3:00 pm local time - or 3:00 pm UTC if local time is unknown - if the check-in time is flexible or not specified); (ii) for Experiences, 24 hours after the start of the Experience; and (iii) for all other Host Services, at the time specified via the Airbnb Platform. For Accommodation bookings of twenty-eight (28) nights or more, Airbnb Payments will generally initiate the first payout 24 hours after the Guest’s scheduled check-in time, and will initiate future payouts every 30 days after the initial payout, for the duration of the reservation.

      3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment via the Airbnb Platform. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select.

      3.4 Payout.

      Your Payout for a booking will be the Total Price less applicable fees like Airbnb service fees and applicable taxes and any amounts you agree to allocate to any co-host, or the owner(s) of an Accommodation, a homeowners’ association, and/or their agent (such as a building operator or property management company). In the event of cancellation of a confirmed booking, Airbnb Payments will remit the amount you are due (if any) as provided in the Terms and applicable cancellation policy.

      3.5 Payout Restrictions. Airbnb Payments may temporarily place a hold, suspend, or cancel any Payout for the purposes of preventing unlawful activity or fraud, risk assessment, security, or completing an investigation; or if we are unable to verify your identity or where applicable the identity of your representative(s) or beneficial owner(s), or to obtain or verify requested information. Furthermore, Airbnb Payments may temporarily place a hold on, suspend, or delay initiating or processing any Payout due to you under the Terms as a result of high volume booking cancellations or modifications arising from a Force Majeure Event (as defined below).

      3.6 Payout Currency. Airbnb Payments will remit your Payouts in the currency you select via the Airbnb Platform. The currencies available may be limited for regulatory or operational reasons based on factors such as your selected Payout Method, your country of residence, and/or your Airbnb contracting entity(ies). Any such limitations will be communicated via the Airbnb Platform, and you will be prompted to select a different currency or Payout Method. Note that payment service providers may impose transaction, currency conversion or other fees based on the currency or Payout Method you select, and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard.

      3.7 Limits on Payouts. For compliance or operational reasons, Airbnb Payments may limit the amount of a Payout. If you are due an amount above that limit, Airbnb Payments may make a series of Payouts (potentially over multiple days) in order to provide your full Payout amount.

      3.8 Payment Service Providers. Payout Methods may involve the use of third-party payment service providers. These payment service providers may charge you additional fees when processing Payouts in connection with the Payment Services (including deducting charges from the Payout amount), and Airbnb Payments is not responsible for any such fees and disclaims all liability in this regard. Your Payout Method may also be subject to additional terms of use from such third-party payment service providers. Please review them before using your Payout Method.

      3.9 Handling of Funds. Airbnb Payments may combine amounts that it collects from Guests and invest them as permitted under applicable laws. Airbnb Payments will retain any interest it earns on those investments.

      3.10 Your Payout Method, Your Responsibility. Subject to Section 17, Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you.

      3.11 Different ways to get paid

      3.11.1 Split Payouts If you provide Host Services jointly with one or more other Hosts as part of a team, business or other organization (“Host Team”), Airbnb may make available to such Hosts the option to allocate between the members of the Host Team the total Host Payout for a booking. Airbnb Payments will execute such payments at the instruction of one or more members of the Host Team, and Hosts are responsible for the accuracy of their instructions.

      3.12 Buy now, pay later. If a Guest in Germany chooses to pay for an Accommodation Reservation using a Klarna "buy now, pay later" option (other than a Pay-in-3 option), these additional Host terms apply.

      4. Appointment of Airbnb Payments as Limited Payment Collection Agent

      4.1 Each Host, including each Host Team member, hereby appoints Airbnb Payments as the Host’s payment collection agent solely for the limited purpose of accepting and processing funds from Guests purchasing Host Services on the Host’s behalf.

      4.2 Each Host, including each Host Team member, agrees that payment made by a Guest through Airbnb Payments, shall be considered the same as a payment made directly to the Host, and the Host will provide the Host Service booked by the Guest in the agreed-upon manner as if the Host has received the payment directly from the Guest. Each Host agrees that Airbnb Payments may refund the Guest in accordance with the Terms. Each Host understands that Airbnb Payments’ obligation to pay the Host is subject to and conditional upon successful receipt of the associated payments from Guests. Airbnb Payments guarantees payments to Host(s) only for such amounts that have been successfully received by Airbnb Payments from Guests in accordance with these Payments Terms. In accepting appointment as the limited payment collection agent of the Host, Airbnb Payments assumes no liability for any acts or omissions of the Host, except for acts or omissions the Host is directed to engage in by Airbnb Payments.

      4.3 Each Guest acknowledges and agrees that, notwithstanding the fact that Airbnb Payments is not a party to the agreement between you and the Host(s), including each Host Team member, Airbnb Payments acts as each Host’s payment collection agent for the limited purpose of accepting payments from you on behalf of the Host(s). Upon a Guest’s payment of the funds to Airbnb Payments, the Guest’s payment obligation to the Host(s) for the agreed upon amount is extinguished, and Airbnb Payments is responsible for remitting the funds successfully received by Airbnb Payments to the Host(s) in the manner described in these Payments Terms. In the event that Airbnb Payments does not remit any such amounts, the Host(s) will have recourse only against Airbnb Payments and not the Guest directly.

      4.4 At no point in time is Airbnb Payments holding funds on behalf of the Guest or providing the Guest a payment service.

      5. General Terms

      5.1 Fees. Airbnb Payments may charge fees for use of certain Payment Services and any applicable fees will be disclosed to you in the Terms or via the Airbnb Platform prior to being charged.

      5.2 Payment Authorizations. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payments Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. Specifically, you authorize Airbnb Payments to collect from you:

        • Any amount due to Airbnb or Airbnb Payments (e.g., as a result of your bookings, Booking Modifications, cancellations, or other actions as a Guest, Host or user of the Airbnb Platform), including reimbursement for costs prepaid by Airbnb or Airbnb Payments on your behalf. Any funds collected by Airbnb Payments will set off the amount owed by you to Airbnb or Airbnb Payments and extinguish your obligation to Airbnb or Airbnb Payments.
        • Any amount due to a Host from a Guest which Airbnb collects as the Host’s payment collection agent as further set out in Section 4 above.
        • Taxes, where applicable and as set out in the Terms.
        • Any amount you pay through the Resolution Center in connection with your Airbnb account.
        • Any Damage Claim amounts owed to Airbnb or Airbnb Payments in accordance with the Terms and Section 6.
        • Overstay penalties payable under the Terms, including any cost and expenses incurred in collecting the overstay penalty.
        • Any service fees or cancellation fees imposed pursuant to the Terms (e.g., if, as a Host, you cancel a confirmed booking).
        • Any amounts already paid to you as a Host despite a Guest canceling a confirmed booking or Airbnb deciding that it is necessary to cancel a booking in accordance with the Terms, Rebooking and Refund Policy, Experiences Guest Refund Policy, Extenuating Circumstances Policy, or other applicable cancellation policy. You agree that in the event you have already been paid, Airbnb Payments will be entitled to recover the amount of any such Guest refund from you, including by subtracting such refund amount out from any future Payouts due to you.

        If you owe an amount at any time after a booking, such as with Payment Plan or Recurring Payment charges, Booking Modifications, Resolution Center payments or Damage Claims (“Additional Amounts”), you authorize Airbnb Payments to collect payments for such Additional Amounts by charging your Payment Method associated with the relevant booking without any further action on your part. Airbnb Payments will notify you in writing before any Additional Amounts are charged.

        If your Payment Method associated with the relevant booking is expired, invalid or otherwise not able to be charged for any reason (such as insufficient funds), you remain responsible for any uncollected amounts and Airbnb Payments may charge the Payment Method related to your booking again or use any other Payment Method on file associated with your Airbnb account, if available, to collect such Additional Amounts. Any amount not collected for any reason will be subject to any remedies that may be available, including, but not limited to, referral to a collections agency, or pursuit of available causes of action or claims against you.

        If Airbnb has reason to believe that you as a Host participated in fraudulent activity, such as an overpayment scam, booking fraud or other fraud, and Airbnb Payments released the payout for such stay, Airbnb Payments may recoup from you such amount by reducing, setting off or debiting the amount from any future Payouts owed to you.

        In addition to any amount due as outlined above, if there are amounts which you owe us but are unpaid or chargebacks associated with your Payment Method, you may be charged fees or costs for reasonable steps taken by Airbnb and/or Airbnb Payments to collect, recover or process these amounts and chargebacks (“Collection Fees”). The Collection Fees will be limited to: (a) reasonable costs directly incurred by Airbnb Payments and/or Airbnb (such as costs associated with the time our personnel spend collecting, recovering or processing the relevant amounts); and (b) collection fees, convenience fees or other fees or costs that are charged to Airbnb Payments and/or Airbnb by third parties.

        5.3 Collections from Guests and Hosts

        5.3.1 If Airbnb Payments is unable to collect any amounts you owe, as a Guest or as a Host, under the Terms and these Payments Terms, Airbnb Payments may engage in collection efforts to recover such amounts from you.

        5.3.2 Airbnb Payments will deem any owed amounts overdue when: (a) for authorized charges, one hundred and twenty (120) days have elapsed after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, two hundred and seventy (270) days have elapsed after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

        5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges to your Payment Method with respect to a Guest transaction, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Host’s future Payouts, after the adjustment is made to the Host’s Airbnb account or the associated services have been provided, whichever is later.

        5.3.4 You hereby explicitly agree that all communications in relation to amounts owed will be made by electronic mail or by phone, as provided to Airbnb and/or Airbnb Payments by you. Such communications may be made by Airbnb, Airbnb Payments, or by anyone on their behalf, including but not limited to a third-party collection agent.

        5.4 Payment Processing Errors

          5.4.1 Airbnb Payments will take the necessary steps to rectify any payment processing errors that we become aware of. These steps may include crediting or debiting (as appropriate) the original Payout Method or Payment Method used or selected by you, so that you end up receiving or paying the correct amount. This may be performed by Airbnb Payments or a third party such as your financial institution. We may also take steps to recover funds sent to you in error (including but not limited to an event of duplicate payments made to you due to a processing error). For Hosts, this may include, by reducing, setting off and/or debiting the amount of such funds from any future Payouts owed to you.

          5.4.2 To the extent you receive any funds in error, you agree to promptly return such funds to Airbnb Payments after you become aware that you have received such funds in error.

            5.5 Refunds

            5.5.1 Any refunds or credits due to a Member pursuant to the Terms, Extenuating Circumstances Policy, Rebooking and Refund Policy, and Experiences Guest Refund Policy, will be initiated and remitted by Airbnb Payments in accordance with these Payments Terms.

            5.5.2 Subject to this Section 5.5.2, Airbnb Payments will initiate the refund process immediately. In the case of a cancellation by a Host, Airbnb Payments will hold the funds for up to 72 hours until the Guest is either refunded or the funds are used to rebook with another Host. In certain instances, the refund process may include the option to receive credit in lieu of a cash refund; if this option is made available to you, the timing of your refund will be communicated via the Airbnb Platform. The time it takes to receive any cash refund or for any pre-authorization of your Payment Method to be released will vary based on the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) rules. In the event of a Force Majeure Event that may affect the processing and settlement of refunds, Airbnb Payments will initiate and process the refund as soon as is practicable.

            6. Damage Claims and Damage Amounts

            6.1 If you are responsible for Damage Claim amounts, pursuant to Section 14 of the Terms, Airbnb via Airbnb Payments may, on reasonable notice to you, charge the Payment Method used to make the booking or any other Payment Method associated with your Airbnb account at the time of the Damage Claim or within a reasonable period thereafter in order to collect the Damage Claim amounts, up to a maximum amount as defined in Section 14 of the Terms. To facilitate this charge, when you book a Listing, you are agreeing that Airbnb via Airbnb Payments may charge the Payment Method used to book the Listing in order to collect Damage Claim amounts.

            6.2 To the maximum extent permitted by law, you agree that Airbnb Payments may seek to recover from you under any insurance policies you maintain and that Airbnb Payments may also pursue against you any remedies it may have available, including, but not limited to, referral to a collections agency, or pursuit of causes of action or claims against you, including in relation to a Damage Claim, or payment requests made by Hosts under the Host Damage Protection.

            7. Abandoned Property

            If Airbnb Payments holds funds due to you (e.g., because we are unable to issue you a Payout or refund) or you do not use a gift card or gift credit for the relevant period of time set forth by your state, country, or other governing body in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by reporting and escheating (sending) such funds to the appropriate governing body as required by applicable unclaimed property laws.

            8. Prohibited Activities

            8.1 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. In connection with your use of the Payment Services, you may not and you agree that you will not and will not assist or enable others to:

              • breach or circumvent any applicable laws or regulations, including to facilitate anyone else to breach or circumvent any applicable laws or regulations;
              • breach or circumvent any agreements with third parties, third-party rights, or the Terms, Additional Legal Terms, Policies, or Standards;
              • use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms;
              • register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use;
              • avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments’ service providers or any other third party to protect the Payment Services;
              • take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services;
              • attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or
              • violate or infringe anyone else’s rights or otherwise cause harm to anyone.

              8.2  We are required to act in accordance with our internal policies and the laws of various jurisdictions relating to the prevention of money laundering and the implementation of sanctions including: (i) economic or financial sanctions or trade embargoes imposed, administered or enforced from time to time by the U.S. government, including those administered by the Office of Foreign Asset Control or the U.S. Department of State; or (ii) by the United Nations Security Council, the European Union or His Majesty’s Treasury of the United Kingdom. You will comply with any relevant financial sanctions and any relevant export control laws applicable to you and to your local jurisdiction.

              9. Force Majeure

              As between Airbnb and a Member, neither shall be liable to the other for any delay or failure to perform resulting from causes outside their reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials (“Force Majeure Event”). For the avoidance of doubt, this clause does not: (i) apply to a Reservation, which is subject to the Host’s cancellation policy and the Extenuating Circumstances Policy; or (ii) operate to extend deadlines applicable to a Resolution Centre Request, a Host Damage Protection claim, an Aircover for guests claim, a Travel Issue under the Rebooking and Refund Policy or an Experiences Issue under the Experiences Guest Refund Policy, or other requests, claims or reporting under similar policies that are incorporated by reference into these Terms.

              10. Disclaimers

              10.1 If you choose to use the Payment Services, you do so voluntarily and at your sole risk. 

              10.2 Notwithstanding Airbnb Payments’ appointment as the limited payment collection agent of Hosts pursuant to Section 4 and subject to Section 11, Airbnb Payments explicitly disclaims all liability for any act or omission by you, any Member or other third party. Airbnb Payments does not have any duties or obligations as agent for each Host except to the extent expressly set forth in these Payments Terms, and any additional duties or obligations as may be implied by law are, to the maximum extent permitted by applicable law, expressly excluded.

              10.3 If we choose or are required to conduct identity verification on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future. We are not responsible for prior misconduct by a Member where such misconduct was unknown by us.

              10.4 The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights or warranties which cannot lawfully be excluded. However, the duration of any statutorily required warranties shall be limited to the maximum extent (if any) permitted by law.

              11. Liability

              11.1 You acknowledge and agree that, to the maximum extent permitted by law, the risk arising out of your access to and use of the Payment Services remains with you. If you permit or authorize another person to use your Airbnb account in any way, you are responsible for the actions taken by that person. To the maximum extent permitted by law, no party, including Airbnb’s affiliates and personnel, or any other party involved in or delivering the Payment Services will be liable for any incidental, special, exemplary, or consequential damages. Incidental, special, exemplary or consequential damages, include, to the maximum extent permitted by law, lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services. Neither is Airbnb Payments liable nor any other party liable, to the extent permitted by law, for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Payments Terms, (ii) from the use of or inability to use the Payment Services, or (iii) from any communications, interactions, or meetings with other Members or other persons with whom you communicate, interact, transact, or meet with as a result of your use of the Payment Services, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Airbnb Payments has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

              11.2 Except for: (i) Airbnb’s obligation to pay amounts to applicable Hosts pursuant to these Payments Terms; (ii) Airbnb’s obligation to make payments under the Airbnb Host Damage Protection, which contains its own limitation of liability; and/or (iii) Airbnb Payments’ wilful breach of these Terms, to the maximum extent permitted by law, in no event shall Airbnb Payments’ aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed (A) to Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) to Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you.

              11.3 Except in the case of a Member’s wilful breach of these Terms, to the maximum extent permitted by law, in no event shall a Member’s liability to Airbnb or any other party involved in creating, producing, or delivering the Airbnb Platform or any Content for any claim or dispute arising out of or in connection with these Payments Terms, interaction with any Member, or your use of or inability to use the Airbnb Platform, any Content, or any Host Service exceed: (A) in the case of Guests, three (3) times the amount you paid for the relevant Reservation(s) giving rise to the liability, or (B) in the case of Hosts, three (3) times the amount paid to you for the relevant Reservation(s) giving rise to the liability.

                12. Indemnification

                To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments’ option), indemnify, and hold Airbnb (including Airbnb Payments, other affiliates and subsidiaries, and their officers, directors, employees, and agents) harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of (i) your breach of these Payments Terms (including any supplemental or additional terms that apply to a product or feature) or our Additional Legal Terms, Policies, or Standards; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit Taxes; or (iv) your breach of any laws, regulations, or third-party rights, such as intellectual property or privacy rights. The indemnification obligation only applies if and to the extent that the claims, liabilities, damages, losses, and expenses have been adequately caused by your negligence or breach of a contractual obligation.

                13. Modification, Term, Termination, and other Measures

                13.1 Modification. Airbnb Payments may modify these Payments Terms at any time. If we make material changes to these Payments Terms, we will post the revised Payments Terms on the Airbnb Platform and update the “Last Updated” date at the top of these Payments Terms. If you are affected by the modification, we will also provide you with notice of the modifications at least two (2) months before the date they become effective. If you do not terminate your agreement before the date the revised Payments Terms become effective, your continued use of the Payment Services will constitute acceptance of any changes to the revised Payments Terms.

                13.2 Term. This agreement between you and Airbnb Payments is effective (i) if you are a Guest, from when you make your first booking; or (ii) if you are a Host, from when a Guest first books a Listing made available by you and you use the Payment Services and remains in effect until either you or we terminate this agreement in accordance with Section 13.3.

                13.3 Termination. You may terminate this agreement at any time by sending us an email or by deleting your Airbnb account. Without limiting our rights specified below, Airbnb Payments may terminate this agreement for convenience at any time by giving you thirty (30) days' notice via email to your registered email address (or two (2) months’ prior notice for Members contracting with Airbnb Payments UK). Airbnb Payments may also terminate this agreement immediately without notice if (i) you have materially breached your obligations under this agreement; (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information; (iii) you have violated applicable laws, regulations, or third-party rights; or (iv) Airbnb Payments believes in good faith that such action is reasonably necessary to protect other Members, Airbnb, Airbnb Payments, or third parties. In case of non-material breaches or where otherwise reasonable, you will be given reasonable notice of any actions that Airbnb proposes to take and an opportunity to remedy the non-material breach (if it is capable of remedy) unless such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Members or third parties, or (iii) contravene applicable laws. Terminating this agreement will also serve as notice to cancel your Airbnb account pursuant to the Terms.

                13.4 Suspension and Other Measures. Airbnb Payments may limit or temporarily or permanently suspend your use of or access to the Payment Services (i) to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, (ii) if you have materially breached these Payments Terms, the Terms, applicable laws, regulations or third-party rights, (iii) if you have provided inaccurate, fraudulent, outdated, or incomplete information regarding a Payment Method or Payout Method, (iv) for any amounts you owe under these Payments Term that are overdue or in default, or (v) if Airbnb Payments believes in good faith that such action is reasonably necessary to protect the personal safety or property of Airbnb, its Members, Airbnb Payments, or third parties, or to prevent fraud or other illegal activity. Further, for unsuccessful payment due to card expiration, insufficient funds, or otherwise, we may temporarily suspend your access to the Payment Services until we can charge a valid Payment Method.

                13.5 Appeal. If Airbnb Payments takes any of the measures described in Section 13.3 you may appeal such a decision by contacting customer service.

                13.6 Effect of Termination. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. If you cancel your Airbnb account as a Guest, Airbnb Payments will initiate a refund for any confirmed booking(s) based on the Listing’s cancellation policy. If your access to or use of the Payment Services has been suspended or limited or this agreement has been terminated by us, you may not register a new Airbnb account or attempt to access and use the Payment Services through an Airbnb account of another Member.

                  13.7 Survival. Sections 1.2, 2.2, 2.3, 2.4, 2.5, 2.6, 2.7, 2.8, 2.9, 2.10, 2.11, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17 and 19, survive expiry or termination, together with any other terms that, by reasonable implication or to give them efficacy are, or are intended, to be performed in whole or in part after the expiry or termination of this agreement.

                  14. Governing Law and Dispute Resolution

                  14.1 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. If you are acting as a consumer and if mandatory statutory consumer protection regulations in your country of residence contain provisions that are more beneficial for you, such provisions shall apply irrespective of the choice of English law. As a consumer, you may only bring proceedings relating to these Payments Terms before the competent court of your place of residence or a court in England. If Airbnb wishes to enforce any of its rights against you as a consumer, we may do so only in the courts of the jurisdiction in which you are a resident. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts.

                  14.2 If you are contracting with Airbnb Payments Australia, these Payments Terms will be governed by the laws of the State of New South Wales, Australia. The parties agree to submit to the non-exclusive jurisdiction of the courts of that State and courts of appeal of that State in respect of any proceedings arising out of or in connection with this agreement.

                  15. United States Arbitration Agreement

                  PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY PROVIDE THAT YOU AND AIRBNB PAYMENTS AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER AND JURY TRIAL WAIVER. This Arbitration Agreement supersedes all prior versions.

                  15.1 Application. This Arbitration Agreement only applies to you if you are contracting with Airbnb Payment US. If you are not contracting with Airbnb Payments US, and you nevertheless attempt to bring any legal claim against Airbnb Payments in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 15 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

                  15.2 Overview of Dispute Resolution Process. Airbnb Payments is committed to participating in a consumer-friendly dispute resolution process. To that end, these Payments Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Airbnb’s customer service team (described in Section 15.3), and if necessary (2) a binding arbitration in accordance with the terms of this Arbitration Agreement. You and Airbnb Payments each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.

                  15.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airbnb Payments each agree to send the other party an individualized notice of the dispute in writing (“Pre-Dispute Notice”) and attempt in good faith to negotiate an informal resolution of an individual claim. You must send your Pre-Dispute Notice to Airbnb Payments by mailing it to Airbnb Payments’ agent for service: CSC Lawyers Incorporating Service, 2710 Gateway Oaks Drive, Suite 150N, Sacramento, California 95833. Airbnb Payments will send its Pre-Dispute Notice to the email address associated with your Airbnb account. A notice of dispute must include: the date, your name, mailing address, your Airbnb username, the email address you used to set up your Airbnb account, your signature, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written demand for arbitration with the arbitration provider designated pursuant to Section 15.6, below. A claimant’s Pre-Dispute Notice requirement is a prerequisite to any arbitration, and a copy of the Pre-Dispute Notice and evidence that it was sent as required by this Section must be attached to any arbitration demand.

                  15.4 Agreement to Arbitrate. You and Airbnb Payments mutually agree that any dispute, claim or controversy arising out of or relating to these Payments Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Payment Services (collectively, “Disputes”) will be settled by binding arbitration on an individual basis (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and Airbnb Payments agree that the arbitrator will decide that issue. For the avoidance of doubt, you and Airbnb agree that any question regarding arbitrability and the formation, enforceability, validity, scope, or interpretation of all or part of this Section 15, including any dispute over compliance with the Pre-Dispute Notice requirement and a party’s responsibility to pay arbitration fees, shall be resolved by an arbitrator.

                  15.5 Exceptions to Arbitration Agreement. You and Airbnb Payments each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in and will be brought in a judicial proceeding in state or federal court in San Francisco, California, unless we both agree to some other location: (i) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); (ii) a request for the remedy of public injunctive relief; (iii) any claim or cause of action for vexatious litigation; or (iv) any individual claim of sexual assault or sexual harassment arising from your use of the Airbnb Platform or Host Services. You and Airbnb Payments agree that any request for the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

                  15.6 Arbitration Forum, Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this Arbitration Agreement, and not state law. The arbitration will be administered by ADR Services, Inc. (“ADR”) (www.adrservices.com) in accordance with Rules 1, 6–7, 8–9, and 11–12, 45, 54, and 56 of the Federal Rules of Civil Procedure (“Selected Federal Rules") (https://www.uscourts.gov/rules-policies/current-rules-practice-procedure/federal-rules-civil-procedure) and ADR’s Arbitration Rules then in effect (the “ADR Rules”), except as the Selected Federal Rules or ADR Rules are modified by or conflict with this Arbitration Agreement. The ADR Rules are available at www.adrservices.com. If an arbitration demand is submitted to ADR Services in accordance with this agreement and the ADR Rules, and ADR Services cannot or will not administer the arbitration, the arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Selected Federal Rules and the AAA’s Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the arbitrator (the “AAA Rules”) then in effect, except as modified here. The AAA Rules are available at www.adr.org. If the AAA cannot and will not administer the arbitration, you and Airbnb Payments shall confer and select an alternative arbitral forum, and if we are unable to agree, either you or Airbnb Payments may ask a court to appoint an arbitrator pursuant to 9 U.S.C. § 5. In that event, the arbitration will be conducted in accordance with the rules of the appointed arbitral forum, unless those rules are inconsistent with the provisions of this Arbitration Agreement.

                  15.7 Modification of Arbitration Rules - Arbitration Hearing/Location. In order to make the arbitration most cost-effective, efficient, and convenient to you, any required arbitration hearing in an arbitration wherein the amount in controversy does not exceed US $1,000,000, shall be conducted remotely via video conference except as otherwise agreed by the parties or instructed by the arbitrator. Any required arbitration hearing in an arbitration wherein the amount in controversy exceeds US $1,000,000 shall be conducted in San Francisco County except as otherwise agreed by the parties or instructed by the arbitrator. If the amount in controversy is US $10,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

                  15.8 Modification of Arbitration Rules - Arbitration Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the ADR Rules and the ADR Services fee schedule (available at www.adrservices.com). If you have a gross monthly income of less than 300% of the federal poverty guidelines, you are entitled to a waiver of arbitration fees and costs, exclusive of arbitrator fees. You may request a fee waiver by providing the arbitration provider with a declaration under oath stating your monthly income and the number of persons in your household. If a fee waiver is granted by the arbitration provider and you provide Airbnb Payments with documents necessary to prove that your gross monthly income is less than 300% of the federal poverty guidelines, Airbnb Payments will pay your share of any arbitrator fees.

                  15.9 Modification of Arbitration Rules - Claims Brought for an improper Purpose or in Violation of This Arbitration Agreement. Either party may make a request that the arbitrator impose sanctions upon proving that the other party or its attorney(s) has asserted a claim, or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous. As allowed by applicable law and the AAA Rules the arbitrator shall impose sanctions equal to the requesting party’s reasonable attorneys’ fees and costs upon finding that a claim or defense is groundless in fact or law, brought in bad faith or for the purpose of harassment, asserted in violation of Fed. R. Civ. P. 11(b) (treating the arbitrator as “the court”), or is otherwise frivolous. Either party may seek dismissal of any arbitration filed in violation of any provision of this Arbitration Agreement. Either party may assert in arbitration a counterclaim for the other party’s initiation of proceedings concerning an arbitrable Dispute without complying with or otherwise in violation of the requirements of this Arbitration Agreement. Upon finding that a party has initiated proceedings concerning an arbitrable Dispute without complying with or otherwise in violation of the requirements of this Arbitration Agreement, the arbitrator shall award the other party its actual damages, including but not limited to reasonable attorneys’ fees and costs.

                  15.10 Arbitrator’s Decision. The arbitrator will issue a written decision which shall include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

                  15.11 Jury Trial Waiver. You and Airbnb Payments acknowledge and agree that both parties are each waiving the right to a trial by jury as to all arbitrable Disputes.

                  15.12 No Class Actions or Representative Proceedings. You and Airbnb Payments acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class- wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing or as provided in this agreement, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

                  15.13 Mass Action Waiver. You and Airbnb Payments acknowledge and agree that the relative benefits and efficiencies of arbitration may be lost when 100 or more arbitration claims are filed within 180 days which (1) involve the same or similarly situated parties; (2) are based on the same or similar claims which arise from the same or substantially identical transactions, incidents, alleged violations or events requiring the determination of the same or substantially identical questions of law or fact; and (3) involve the same or coordinated counsel for the parties (“Mass Action”). Accordingly, you and Airbnb Payments agree to waive the right to have any Dispute administered, arbitrated, or resolved as part of a Mass Action (though Sections 15 and 15.12 will continue to apply to the Dispute). In case of a dispute, the appointed arbitrator for the first matter instituted within a set of claims identified by either party shall decide whether those claims are part of a Mass Action. If no arbitrator has yet been appointed, an arbitrator shall be appointed solely to determine whether claims identified by either party are part of a Mass Action. Nothing in this provision prevents you or Airbnb Payments from participating in a mass settlement of claims.

                  15.14 Modification of Arbitration Rules – Mass Action Batching Requirements. If for any reason, notwithstanding Section 15.13, an arbitration proceeds as part of a Mass Action, the parties shall group the arbitration demands into batches of no more than 200. The batches shall be determined by listing the claimants’ alphabetically (by last name or business name, as applicable)—for example, the first 200 claimants listed will be the first batch, the next 200 claimants listed will be the second batch, and so forth. The parties shall randomly assign each batch a sequential number and arbitrate the batches one at a time, in sequential order. While one batch is being arbitrated, the arbitration provider shall hold the remainder in abeyance unless otherwise agreed by the parties or instructed by the arbitration provider. Each batch shall be resolved within 240 days of the pre-hearing conference for that batch. Notwithstanding the forgoing, if any claimant’s demand has not been the subject of a pre-hearing conference within 2 years of the latest-filed demand in the Mass Action, such claimant may elect to pursue the claims asserted in the claimant’s demand in court subject to Sections 14 and 15.12.

                  15.15 Modifications of Arbitration Rules - Offers of Judgment. At least 10 days before the date set for the arbitration hearing, you or Airbnb Payments may serve a written offer of judgment on the other party to allow judgment on specified terms. If the offer is accepted, the offer with proof of acceptance shall be submitted to the arbitration provider, who shall issue an award accordingly. If the offer is not accepted prior to the arbitration hearing or within 30 days after it is made, whichever occurs first, it shall be deemed withdrawn and cannot be given as evidence in the arbitration, other than with respect to costs (including all fees paid to the arbitration provider). If an offer made by one party is not accepted by the other party, and the other party fails to obtain a more favorable award, the other party shall not recover their post-offer costs and shall pay the offering party’s costs (including all fees paid to the arbitration provider) from the time of the offer.

                  15.16 Severability. Except as provided in Section 15.12, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect.

                  15.17 Amendment to Agreement to Arbitrate. If Airbnb Payments amends this Section 15 after the date you last accepted these Payments Terms (or accepted any subsequent changes to these Payments Terms), you may reject the change by sending us written notice no later than thirty (30) days of the date the change is effective. Your notice must include your name, mailing address, the date of the notice, your Airbnb username, the email address you used to set up your Airbnb account, your signature, and an unequivocal statement that you want to opt out of the amended Section 15. You must either mail your notice to this address: 888 Brannan St, San Francisco, CA 94103, Attn: Arbitration Opt-Out, or email the opt-out notice to arbitration.opt.out@airbnb.com. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airbnb Payments (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airbnb Payments.

                  15.18 Survival. Except as provided in Section 15.12 and subject to Section 13.7, this Section 15 will survive any termination of these Payments Terms and will continue to apply even if you stop using the Payment Services or terminate your Airbnb account.

                  16. Miscellaneous

                  16.1 Interpreting these Payments Terms. Except as they may be supplemented by additional terms and conditions, policies, guidelines, or standards, these Payments Terms constitute the entire agreement between Airbnb Payments and you regarding the subject matter hereof, and supersede any and all prior oral or written understandings or agreements between Airbnb Payments and you regarding the Payment Services. This clause does not exclude a party’s liability for prior false, misleading or deceptive statements or misrepresentations, whether oral or written. If any provision of these Payments Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

                  16.2 No Waiver. Subject to any limitation expressly stated in these Payments Terms or the Terms, or any document, policy or standard incorporated into them, Airbnb Payments’ or a Member’s failure to enforce any right or provision in these Payments Terms will not constitute a waiver of such right or provision unless acknowledged and agreed between the relevant parties in writing. Except as expressly set forth in these Payments Terms, the exercise by Airbnb Payments or a Member of any of its remedies under these Payments Terms will be without prejudice to its other remedies under these Payments Terms or otherwise permitted under law.

                  16.3 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without Airbnb Payments’ prior written consent (not to be unreasonably withheld or delayed). Airbnb Payments may assign, transfer, or delegate this agreement and any rights and obligations, at its sole discretion, with thirty (30) days’ prior notice (or two (2) months’ prior notice (for Members contracting with Airbnb Payments UK) provided that this would not reduce your rights or benefits under these terms.

                  16.4 Notices. Unless specified otherwise, any notices or other communications permitted or required under this agreement, will be in writing and given by Airbnb Payments via email or Airbnb Platform notification, and depending on your notification setting, messaging service (including SMS and WeChat). The date of receipt will be deemed the date on which Airbnb Payments transmits the notice.

                    17. Additional Clauses for Users Contracting with Airbnb Payments UK

                    This Section 17 will apply if you are contracting with Airbnb Payments UK. To the extent that there is any conflict between this Section 17 and any other provision of these Payment Terms, the provisions of this Section 17 shall apply

                    17.1 Payment Service User

                    17.1.1 The Payment Services include the payment collection service provided to Hosts contracting with Airbnb Payments UK. The payment collection service constitutes a “payment service” regulated under the Payment Services Regulations and for these purposes Airbnb Payments UK treats Hosts as the “payment service user.”

                    17.1.2 By agreeing to these Payments Terms you as a Host have consented to Airbnb Payments UK’s payment of each Payout to your chosen Payout Method. Hosts may change a Payout Method up to one (1) day before the time agreed for the Payout as set out in Section 3.3. Airbnb Payments UK will be deemed to have received the Host's payment order to the Host on the same date Airbnb Payments UK agrees to initiate the Payout in accordance with Section 3.3.

                    17.1.3 Airbnb Payments UK will endeavor to ensure that Hosts based in the UK will receive each Payout by the end of the business day following Airbnb Payments UK’s initiation of the Payout.

                    17.1.4 Communication. Airbnb Payments will provide the Host notice via email when we initiate each Payout. We will also provide notice to a Host’s registered email address if the Payout is returned to us because of an error. It is your responsibility as a Host to ensure that you provide us with a current, accurate, and valid email address.

                    17.2 Diverted Payouts and Complaints

                    17.2.1 If you as a Host believe or become aware that a Payout properly due to you has been or may be diverted without your authorization (“Diverted Payout”) because your password or other credentials to log into your Airbnb account (“Credentials”) have been lost, stolen, or misappropriated, you should notify Airbnb Payments UK without undue delay. As a Host you may be liable for losses relating to any Diverted Payout arising from the use of lost, stolen, or misappropriated Credentials (including the loss of a mobile phone on which you have installed the Application) or where you have failed to keep your Credentials safe, up to a maximum of £35. Provided that you notify us of any Diverted Payout without delay and at the very latest within 13 months of the date of the payment, you may be entitled to a refund of that payment.

                    17.2.2 If you as Host claim not to have received a Payout properly due to you via your chosen Payout Method (including where there has been a Diverted Payout), Airbnb Payments UK will (if requested by you without undue delay, on becoming aware of the unauthorized or incorrectly executed Payout and in any event within 13 months of it happening) make immediate efforts to trace the payment and will notify you of the outcome. Subject to Section 17.2.3, unless we can prove that (i) the Payout was received by you via your chosen Payout Method, or (ii) we made the Payout correctly using the Payout Method information you provided but the information you provided was incorrect, we will refund the amount. Where you have given us incorrect information, we will not be liable for the defective or non-execution of the Payout, however, we will make reasonable efforts to recover the Payout funds.

                    17.2.3 You must use your Credentials in accordance with these Payment Terms, and take all reasonable steps to keep your Credentials safe. As a Host you may be liable for losses suffered by Airbnb Payments UK in attempting to trace and recover a Diverted Payout (up to a maximum of £35) arising from the use of lost, stolen, or misappropriated Credentials including where due to the loss of a mobile phone on which you have installed the Application or where you have failed to keep your Credentials safe. You will not be liable for losses suffered by Airbnb Payments UK in attempting to trace and recover a Diverted Payout where the loss, theft or misappropriation of your Credentials was not detectable by you prior to the Diverted Payout (unless you acted fraudulently in connected with the Diverted Payout), or where the loss suffered by Airbnb Payments UK was caused by acts or omissions of Airbnb personnel or a service provider. You may however be liable to Airbnb Payments UK for all losses relating to attempted tracing and recovery of a Diverted Payout if we can produce reasonable evidence that you acted fraudulently or where you failed to use the Airbnb Platform and/or Payment Services in accordance with the Terms or these Payment Terms (including the obligation to keep your Credentials safe). Except where you have acted fraudulently, you will not be liable to Airbnb Payments UK for any losses incurred in respect of the attempted tracing and recovery of a Diverted Payout arising after notification by you of the loss, theft, or misappropriation of your Credentials or of the unauthorized use of your Credentials, where we have failed at any time to provide appropriate means for such notification, or where we do not require strong customer authentication, where required.

                    17.2.4 Any complaints about the Payment Services should be made to Airbnb Payments UK. If you are not happy with the outcome of a complaint and you as a Host have received regulated Payment Services from Airbnb Payments UK, you may also be able to refer your complaint to the Financial Ombudsman. All complaints to the Financial Ombudsman Service are subject to the rules of the Financial Ombudsman Service, including in relation to eligibility requirements. The UK Financial Ombudsman Service offers a free complaints resolution service. You may obtain further information regarding the Financial Ombudsman Services and contact details at: http://www.financial-ombufsman.org.uk.

                    18. Additional Clauses for Users Contracting with Airbnb Payments UK

                    The following paragraphs also apply if you are using the Payment Services as a representative (“Representative”) acting on behalf a business, company or other legal entity (in such event, for purposes of the Payments Terms, “you” and “your” will refer and apply to that business, company or other legal entity).

                    18.1 You accept the Payments Terms and you will be responsible for any act or omission of employees or third-party agents using the Payment Service on your behalf.

                    18.2 You and your Representative individually affirm that you are authorized to provide the information described in Section 2.1 and Section 3.2 and your Representative has the authority to bind you to these Payments Terms. We may require you to provide additional information or documentation demonstrating your Representative’s authority.

                    18.3 You represent and warrant to us that: (i) you are duly organized, validly existing and in good standing under the laws of the country in which your business is registered and that you are registering for receiving the Payment Services; and (ii) you have all requisite right, power, and authority to enter into this agreement, perform your obligations, and grant the rights, licenses, and authorizations in this agreement.

                    18.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party.

                    18.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method.

                      18.6 If you handle, store or otherwise process payment card information on behalf of anyone or any third-party, you agree to comply on an ongoing basis with applicable data privacy and security requirements under the current Payment Card Industry Data Security Standard with regards to the use, access, and storage of such credit card information.
